GOOD MORNING, EVERYONE.

THANK YOU FOR JOINING US FOR THIS SPECIAL CALLED MEETING OF THE CAPITAL METRO BOARD OF DIRECTORS.

I'LL CALL THIS MEETING TO ORDER TODAY IS WEDNESDAY, NOVEMBER THE 10TH, AND THE TIME IS 10 14.

UH, AS WE GET UNDERWAY TODAY, UH, I JUST WANT TO MAKE NOTE OF THE FACT THAT OUR, THIS IS OUR, UH, GENERAL COUNCIL'S LAST MEETING WITH US HERE ON THE DAYAS.

UH, ASHLEY, WE HAVE KNOWN YOU, UH, UH, TO SHORT A PERIOD OF TIME.

UH, YOU HAVE BEEN GREAT COUNSEL AND YOU'VE BEEN GREAT OPPOSING COUNSEL.

UH, ASHLEY REPRESENTED THE CITY COLLABORATIVELY, UH, DURING THE TIME DURING ALL THE TIME PERIOD THAT WE DID THE PROJECT CONNECT WORK.

SO HER HANDY WORK IS ALL OVER THIS PROJECT.

AND IN THE PERIOD OF TIME RUNNING UP TO OTHER THE JOINT POWERS AGREEMENT, UH, ASHLEY HAS BEEN INSTRUMENTAL AND, UH, UH, AS A LAWYER, I APPRECIATE GOOD LAWYERING AND A GOOD COUNSEL.

AND, UH, WE HAVE GOTTEN THAT BOTH ON THE CITY SIDE AND ON THE CAP METRO SIDE.

AND, UH, I KNOW THAT, UH, THIS IS A BIG LIFE CHANGE, AND I JUST WANT TO SAY THANK YOU AND GOOD LUCK, AND WE'LL LOOK FORWARD TO HEARING MORE GREAT THINGS FROM YOU IN OUR SISTER CITY TO THE SOUTH.

SO THANK YOU FOR EVERYTHING YOU'VE DONE FOR OUR COMMUNITY AND SPECIFICALLY FOR THE CAP METRO BOARD.

I WILL MISS WORKING WITH YOU ALL.

I KNOW MY TIME HERE WAS SHORTER THAN I EXPECTED, BUT, UM, I THINK A LOT OF EVERYBODY HERE AND WHAT WE'VE ACCOMPLISHED, UM, ON PROJECT CONNECTS BOTH AT MY TIME AT THE CITY AND HERE.

SO, UM, I WISH EVERYBODY HERE THE BEST OF LUCK AND I WILL STAY IN TOUCH AND I'M GLAD TO HAVE WORKED ON THIS AND THINK IT'S AN IMPORTANT STEP FORWARD FOR OUR CITY AND OUR COMMUNITY.

UH, THEN WE'RE POSTED FOR EXECUTIVE SESSION

[III. Executive Session of Chapter 551 of the Texas Government Code]

THIS MORNING TO DISCUSS LEGAL ISSUES RELATED TO OUR JOINT POWERS AGREEMENT.

SO WE'LL GET A LITTLE BIT MORE WORK OUT OF ASHLEY.

UH, I'D LIKE TO GO AHEAD AND GO INTO THAT SESSION NOW.

AND THEN WHEN WE COME OUT OF THAT SESSION WERE POSTED FOR ACTION TODAY ON, UH, THE ONE ITEM RELATED TO THE JOINT POWERS, UH, THE JOINT POWER AGREEMENT, JOINT POWERS AGREEMENT, SHOULD THE BOARD, UH, DECIDE TO TAKE ACTION ON THAT? SO THE BOARD WILL NOW GO INTO EXECUTIVE SESSION UNDER SECTION 5 51 0.07, ONE OF THE TEXAS GOVERNMENT CODE TO DISCUSS LEGAL ISSUES RELATED TO THE JOINT POWERS AGREEMENT IN OUR TIME.

NOW IN OUR TIME NOW IS 10 16.

[IV.1. Approval of a resolution authorizing the President & CEO to finalize and execute the Joint Powers Agreement between the City of Austin, Capital Metro and the Austin Transit Partnership.]

UH, THE TIME IS NOW 10 50 AND WE'RE OUT OF EXECUTIVE SESSION AND, UH, BACK INTO OUR, UM, UH, AGENDA ACTION ITEM AGENDA.

WE HAVE ONE ITEM POSTED, WHICH IS APPROVAL OF A RESOLUTION, PARDON ME, AUTHORIZING THE PRESIDENT AND CEO TO FINALIZE AND EXECUTE THE JOINT POWERS AGREEMENT BETWEEN THE CITY OF AUSTIN CAP, METRO AND THE AUSTIN TRANSIT, UH, PARTNERSHIP.

UH, UM, ASHLEY, THANK YOU FOR YOUR WORK ON THIS.

UM, I DON'T THINK WE NEED A PRESENTATION CHAIR WOULD, UM, INVITE A MOTION RELATIVE TO OUR ONE ACTION ITEM, HAVE A MOTION FROM MEMBER MITCHELL AND A SECOND, UH, FROM A MEMBER KITCHEN, ANY DISCUSSION, NO DISCUSSION.

OKAY.

UM, I JUST WANT TO SAY THAT I APPRECIATE THE STAGE, THE POINT WE'RE AT AND, UM, ANTICIPATE THAT, YOU KNOW, THE CITY OF AUSTIN HAS ALREADY PASSED.

THE JPA WILL BE PASSING IT TODAY.

ANTICIPATE ATP WILL ALSO, AND THIS IS A MAJOR MILESTONE FOR PROJECT CONNECT AND, UM, I THINK IT'S AN EXCITING PLACE TO BE.

VERY GOOD.

ANY OTHER QUESTIONS OR COMMENTS? I'LL JUST NOTE, UH, LIKEWISE, I THINK THIS IS A VERY SIGNIFICANT AGREEMENT, UH, AS BETWEEN OUR THREE ORGANIZATIONS.

A LOT OF AWFULLY HARD WORK HAS GONE INTO THIS, UH, BY OUR STAFF, RESPECTIVE STAFFS AND LEADERSHIP, AND THIS IS REALLY THE BLUEPRINT FOR HOW WE GO FORWARD.

AND, UH, WE'VE HAD GREAT COLLABORATION BETWEEN THE CITY AND CAP METRO AND NOW, UH, WITH ATP AND, UH, THE SUCCESS OF THIS PROJECT WILL, UH, BE DEPENDENT UPON US CONTINUING THAT GREAT SPIRIT OF, UH, COLLABORATION.

AND I'LL SAY, THIS IS A VERY GOOD

IT IS NOT A PERFECT DOCUMENT.

IT DOES NOT CONTEMPLATE EVERY SET OF CIRCUMSTANCES THAT MAY COME UP INTO THE FUTURE.

AND SO WE'LL HAVE TO CONTINUE TO WORK TOGETHER AS THAT AS WE EVOLVE INTO THIS PROJECT.

AND, UH, I LOOK FORWARD TO CONTINUING THAT LEVEL OF COOPERATION, UH, WITH BOTH THE CITY AND ATP IS, UH, AS WE GO FORWARD, REMEMBER STRATTON JUST WANT TO THANK, UH, ALL THE MEMBERS OF THE, THE CAP METRO BOARD, UH, LOOKING FORWARD TO, UM, UH, TO PASSAGE OF IT HERE BY THE CAP METRO BOARD.

THANKS AGAIN, TO THE AMAZING HARD WORK FROM ALL THE RESPECTIVE STAFFS AND ATP, THE CITY OF AUSTIN AND CAP METRO WORKING IN TANDEM IN CONJUNCTION THE AMAZING AMOUNT OF PUBLIC FEEDBACK THAT WE HAVE HAD TO GET US TO THIS POINT.

AND, UH, AND THE, UH, COLLABORATION AND WORK BOTH PUBLICLY AND BEHIND THE SCENES FROM OUR RESPECTIVE BOARD MEMBERS, UH, MEMBERS OF THE CITY COUNCIL AND MEMBERS OF THIS BOARD AND THE ATP BOARD.

AND I'M LOOKING FORWARD TO THIS THING PASSING TODAY, AND THEN I WILL BE SEEING IT AGAIN.

UH, NEXT WEDNESDAY AT THE ATP BOARD MEETING, THIS IS A HUGE MILESTONE APPRECIATE EVERYBODY'S INCREDIBLE HARD WORK TO GET US TO THIS POINT SO WE CAN, UH, KEEP THE TRAIN RUNNING DOWN THE TRACK VERY WELL, UNLESS THERE ARE ANY OTHER COMMENTS OR QUESTIONS, UH, I'LL ASK FOR YOUR VOTES ALL IN FAVOR OF THE MOTION, PLEASE INDICATE BY SAYING AYE.
