GOOD AFTERNOON,

[00:00:01]

EVERYBODY.

THANKS FOR JOINING US FOR THIS REMOTE MEETING OF THE CAP.

METRO BOARD OF DIRECTORS.

I'LL CALL THIS MEETING TO ORDER DECEMBER THE 14TH AND OUR TIME IS 1204.

AS ALWAYS, BEFORE WE GET STARTED A COUPLE OF LOGISTICAL ITEMS, UM, JUST WANT TO REMIND EVERYONE BEST PRACTICES TO KEEP YOUR MICROPHONE ON MUTE UNLESS YOU'RE SPEAKING AND THEN TO MUTE YOURSELF AGAIN AFTERWARDS.

AND, UH, AS IN THE PAST, WHEN OUR VOTING ITEMS COME UP, I'LL BE ASKING BOARD MEMBERS FOR A VERBAL VOTE OF YAY OR NAY FOR EACH ITEM INDIVIDUALLY, UH, BOARD MEMBERS.

UM, I'M ASKED AGAIN TO REMIND YOU THAT IN ORDER TO COMPLY WITH TEXAS LAWS ON REMOTE MEETINGS, WE'LL NEED YOU TO STAY VISIBLE, UH, BY LEAVING YOUR CAMERA ON AT ALL TIMES POSSIBLE.

AND IN PARTICULAR NEED YOU TO BE VISIBLE WHEN WE'RE TESTING VOTES.

UH, THE FIRST ITEMS

[I. Recognition]

ON OUR AGENDA TODAY WILL BE TO RECOGNITIONS, BUT, UH, BEFORE WE DO, I'D LIKE TO, UH, TAKE A MOMENT, UH, AND SAD TO SAY, THIS WILL BE THE SECOND TIME IN THIS MANY MONTHS TO RECOGNIZE A MEMBER OF THE CAP METRO FAMILY, WHO WAS LOST TO THE COVID VIRUS AT THE END OF LAST MONTH, MV BUS OPERATOR, GEORGE MASON PASSED AWAY ON NOVEMBER THE 24TH.

HAVING BEEN A DRIVER FOR CAP METRO FOR A LITTLE OVER 18 MONTHS.

UH, GEORGE WAS KNOWN FOR BEING A HARDWORKING MAN WHO WAS DEVOTED TO HIS FAMILY, A LOVING FATHER, AND I KNOW IT WAS LOST AS DIFFICULT FOR ALL OF HIS FAMILY, UH, FRIENDS AND COLLEAGUES.

SO, UH, PLEASE JOIN ME AS WE TAKE A MOMENT TO PAUSE AND TO REMEMBER GEORGE AND ALL THE FAMILY MEMBERS WHO WILL BE WITHOUT LOVED ONES THIS HOLIDAY SEASON DUE TO THIS AWFUL DISEASE.

IF WE COULD JUST TAKE A MOMENT HERE, CAN YOU GUYS HEAR ME ALL RIGHT.

UH, ON BEHALF OF THE BOARD AND ALL OF HIS COLLEAGUES AT CAP METRO, OUR DEEPEST SYMPATHIES AND CONDOLENCES TO GEORGE'S FAMILY, UH, WE'RE GRATEFUL TO HAVE HAD HIM AS A COLLEAGUE AND, AND, UH, ARE VERY SORRY FOR, UH, FOR YOUR LOSS.

THANK YOU EVERYBODY.

UH, NOW WE'D ALSO LIKE TO RECOGNIZE A COUPLE OF, UH, DEAR FRIENDS AND FAMILIAR FACES WHO WILL BE SOON, UH, MOVING ON TO START NEW CHAPTERS IN THEIR LIVES.

THEY'VE SOMEHOW FOUND SOMETHING BETTER TO DO THAN HANG OUT WITH US HERE AT CAP METRO, HARD TO BELIEVE.

BUT THE FIRST OF THOSE IS OUR DEPARTING VICE-PRESIDENT OF REAL ESTATE AND ASSET MANAGEMENT AND THE SHANE AT DAVIS, SOMEONE WHO HAS BEEN A FAMILIAR FACE TO THE BOARD AND WHOSE LAST BOARD MEETING IS TODAY, UH, SHANNON, YOU WILL BE MISSED, MISSED.

UH, I KNOW THAT YOU, HOWEVER, TRIED TO LEAVE ONCE BEFORE AND WERE UNSUCCESSFUL.

AND SO WE'LL SEE HOW THIS TIME GOES.

UH, DOTTIE.

I KNOW THAT YOU WANTED TO SAY A FEW WORDS, SO I'LL INVITE YOU TO THE VIRTUAL PODIUM HERE.

GREAT, THANK YOU, CHEROKEE FOR MEMBERS OF THE BOARD.

I'M DOTTIE WATKINS, CHIEF CUSTOMER OFFICER, AND CHIEF OPERATING OFFICER.

UM, AND IT'S MY PRIVILEGE AND HONOR TODAY TO WISH, UH, A HAPPY RETIREMENT TO OUR COLLEAGUES, SHANNON DAVIS, UM, SHANA IS RETIRING AFTER 22 YEARS DEDICATED TO SERVICE TO THIS COMMUNITY.

UM, SHE CURRENTLY SERVES AS OUR VICE PRESIDENT OF REAL ESTATE AND PROPERTY AND ASSET MANAGEMENT.

SO SHE HAS WORN MANY, MANY HATS OF THE YEARS.

I'M SAYING IT STARTED HER TENURE AS THE EXECUTIVE ASSISTANT TO THE GENERAL MANAGER BACK BEFORE WE EVEN ADD A CEO, UM, AND HAS HELD ON MYRIAD OF JOBS OVER THE YEARS, SHE STARTED IN OPERATIONS.

SHE MOVED DOWN TO PROCUREMENT, SHE'S COME BACK TO OPERATIONS.

UM, SHE REALLY IS A UTILITY PLAYER AND HAS BEEN JUST A FABULOUS COLLEAGUE, UM, OVER THE MANY, MANY YEARS.

UM, A COUPLE OF WEEKS AGO, A SMALL GROUP OF US WERE ABLE TO GET TOGETHER IN A SOCIALLY DISTANCE FASHION, UM, TO WISH SHAYNA A FOND FAREWELL.

UM, AND SHE TOLD US SHE'S LOOKING FORWARD TO RELAXING DURING RETIREMENT AND PLANS TO NEVER WAKE TO AN ALARM CLOCK AGAIN.

SO WE WILL MISS HER GREATLY AND WISH HER THE VERY BEST IN HER RETIREMENT.

SO, UM, SHANA WILL BE WITH US UNTIL SHORTLY INTO THE NEW YEAR, BUT THIS WILL BE HER LAST BOARD MEETING.

SO WE WANTED TO MAKE SURE WE SAID THINGS.

THANK YOU, DADDY.

THANK RANDY, AS WELL.

WANTED TO SAY A COUPLE OF THINGS.

THANK YOU, CHAIR.

AND I JUST WANTED TO ADD ON, ON BEHALF OF THE ENTIRE STAFF CONGRATULATE SHAYNA ON HER RETIREMENT.

AND THANK, UH, THANK YOU FOR ALL OF YOU DONE FOR THIS ORGANIZATION.

22 YEARS OF, UH, COMMITTED SERVICE, NOT ONLY WAKING UP TO ALARM CLOCKS, BUT, UH, ESPECIALLY THE CURRENT JOB YOU HAVE WAKING UP TO 24 SEVEN, UH, TOPICS.

UH, I, I KNOW THAT THAT AREA OF WELL FROM A PREVIOUS JOB I HAD, AND I KNOW THAT THOSE ARE PHONE CALLS FROM PEOPLE LIKE DOTTIE OR MYSELF

[00:05:01]

OR OUR CONTROL CENTER OR YOUR FIELD STAFF.

AND YOU'VE ALWAYS DONE IT WITH GRACE AND PROFESSIONALISM.

AND I ESPECIALLY, UH, APPRECIATE ALL YOU'VE DONE THIS YEAR.

THIS YEAR HAS BEEN AN ESPECIALLY CHALLENGING YEAR AND, UH, YOU'VE REALLY STEPPED UP, UH, EVEN MORE SO, SO WE'VE GOT TO MISHA A LOT SHANA, AND WE JUST WANT TO REALLY SAY THANK YOU FROM BOTH OF OUR HEARTS TO THE WHOLE CAP, METRO FAMILY.

THANKS, RANDY.

AND I'LL JUST ECHO THAT AND SAY ON BEHALF OF MY COLLEAGUES ON THE BOARD, SHANE, IT'S ALWAYS BEEN A PLEASURE TO WORK WITH YOU.

WE'VE HAD SOME VERY INTERESTING CONVERSATIONS OVER THE YEARS AS THIS ORGANIZATION HAS GROWN AND DEVELOPED, AND YOU'VE BEEN RIGHT IN THE MIDDLE OF THAT GROWTH AND DEVELOPMENT AND A KEY PART OF HELPING CAT METRO BECOME LIKE THIS TODAY.

SO WE'LL MISS YOUR SMILING FACE, YOUR EXPERTISE, UH, AND KNOW THAT YOU'RE OUT THERE DOING SOMETHING MORE FUN THAN DEALING WITH US.

SO THANK YOU FOR ALL OF THAT.

OKAY.

THANK YOU.

UM, BOARD DOTTIE, RANDY, UM, EVERYONE IT'S BEEN, IT'S BEEN AN HONOR, SO THANKS.

UM, Y'ALL MAKE ME VERY HAPPY.

YOU DO A GREAT JOB AND I'LL SUPPORT YOU.

UM, AFTER I'M GONE FROM HERE, SLEEPING IN LATE EVERY MORNING.

THINK OF US WITH THAT FIRST CUP OF COFFEE, COFFEE.

WELL, UH, PHARISEES AND FOLLOWING, UH, FOLLOWING WINS, TAKE CARE.

GOOD LUCK TO YOU AT BOARD MEMBERS.

ALSO, THIS IS THE FINAL MEETING FOR ONE OF OUR COLLEAGUES HERE ON THE VIRTUAL DIOCESE.

UM, AS YOU ALL KNOW, VICE CHAIR GARZA WAS SUCCESSFUL IN HER ELECTION TO BECOME THE TRAVIS COUNTY ATTORNEY AFTER THE FIRST AND WILL AFTER THE FIRST OF THE YEAR, UH, DEPART FROM THIS JOB, UH, AND, UH, AND TAKE ON THE NEW ONE.

UH, UH, THE VICE CHAIR HAS BEEN ON THIS BOARD, I THINK JUST A MONTH OR TWO SHORTER, UH, THAN MY TENURE FOR FIVE PLUS YEARS, I BELIEVE.

AND I'LL SAY, UH, DURING HER TENURE HERE, UH, UH, DAHLIA HAS ALWAYS BEEN AN ADVOCATE FOR THE LITTLE GUY AND THE PEOPLE WHO NEED OUR SERVICE.

UH, SHE'S BEEN AN ADVOCATE FOR THE WORKERS FOR THE UNION MEMBERS, UH, ALWAYS, UH, WITH A BIG HEART FOR THOSE WHO NEEDED SOMEBODY ON THE BOARD, UH, SPEAKING OUT FOR THEM, UH, SHE'S UH, OBVIOUSLY BEEN PASSIONATE AROUND ALL THOSE ISSUES.

UH, SHE'S BEEN A LEADER ON THOSE ISSUES, MAKING SURE THAT WE REMAIN FOCUSED ON THE PEOPLE THAT WE SERVE AND THE PEOPLE WHO, UM, UH, MAKE OUR BUSES AND TRAINS GO.

SHE'S ALWAYS HAD A HEART FOR THAT.

SO WE'RE GRATEFUL FOR HER LEADERSHIP AND HER PASSION AND HER, UH, COMRADESHIP, UH, HERE ON THE BOARD, SHE WAS, UH, VERY ACTIVE IN PROJECT CONNECT AND GETTING US ACROSS THE FINISH LINE.

UM, AND SO WE'RE GRATEFUL FOR ALL THAT SHE'S DONE FOR US AND THE CHANGE THAT SHE'S BROUGHT TO OUR COMMUNITY, UH, AND LOOK FORWARD TO, UH, GREAT THINGS FROM HER IN HER NEW ROLE.

I'M ONLY SORRY THAT, UH, SHE'S NOW TAKING THAT JOB AFTER ALL OF MY CHILDREN WHO WERE THREATS TO THE, UH, UH, SAFETY AND STABILITY OF OUR, UH, OF OUR COMMUNITY HAVE GONE ON, I COULD HAVE USED A FRIEND IN HIGH PLACES IN TIMES PAST, BUT, UH, WE'RE, UH, WISHING YOU THE BEST, UH, AND YOUR NEW GIG.

AND, UH, I WAS TELLING A FEW PEOPLE, THE ONLY GOOD SIDE, UH, DAHLIA OF BUDA PARTY IS THE AGGIES ARE IN THE TOP 10 AND THE LONGHORNS ARE NOT.

SO I'M PLEASED THAT I WON'T HAVE TO TAKE ANY, UH, ADDITIONAL RIBBING ABOUT OUR, UH, DIFFERENT, UH, CIRCUMSTANCES.

SO GOOD LUCK TO YOU.

GOD'S SPEED.

AND, UH, WE'VE ENJOYED HAVING YOU AS A COLLEAGUE AND LOOK FORWARD TO GREAT THINGS IN THE FUTURE.

AND IF YOU'D LIKE TO TAKE THE MICROPHONE AND SETTLE SOME SCORES, WE'D BE PLEASED FOR YOU TO DO THAT.

UM, WELL, THANK YOU SO MUCH FOR THOSE KIND WORDS.

UM, I W UH, IT'S ACTUALLY, I GUESS, WELL, I GUESS IT'S TECHNICALLY MY LAST BOARD MEETING.

I GET, I GET TO GET ALL TOGETHER WITH EVERYBODY ONE MORE TIME.

UM, I THINK IT'S LATER THIS WEEK FRIDAY, MAYBE.

I DON'T KNOW, BUT, UM, IT HAS BEEN A HUGE HONOR TO SERVE ON THIS BOARD.

UH, I REMEMBER WHEN BEING, UH, TALKING TO THE MAYOR ABOUT HIS ASSIGNMENTS, TO WHAT COMMITTEES WE WANTED TO SERVE ON, I SAID, AND I'VE TOLD THIS STORY SEVERAL TIMES IN DIFFERENT VENUES, UM, PUT ME WHERE YOU THINK I WOULD BE BEST, BUT PLEASE GIVE ME CAP METRO.

AND, UM, I WANTED TO TAP METRO BECAUSE I'M HERE TO ECHO THAT KATE WENT AWAY.

I WANTED IT BECAUSE I MEAN, FROM ANY OF THE REASONS THAT OUR CHARGES SPOKE TO, I BELIEVE IT IS, UM, IT CAN, IT, IT HAS AN END.

IT CAN CONTINUE TO BE A CHAMPION FOR EVERYDAY PEOPLE BECAUSE IT IS THE EVERYDAY PEOPLE THAT USE SERVICE, UH, THAT'S WHO WE SERVE.

AND REALLY IT'S THE EVERYDAY PEOPLE THAT ARE DRIVING OUR BUSES AND OPERATING, UM, OUR LINES FOR US.

AND THOSE ARE THE PEOPLE I'VE ALWAYS CARED

[00:10:01]

MOST ABOUT BECAUSE THAT'S WHERE I COME FROM A WORKING CLASS FAMILY.

AND SO IT'S BEEN AN HONOR TO, TO BE ABLE TO BE THEIR VOICE.

UM, I'VE ALSO OFTEN ENJOYED THE AMAZING THINGS I'VE LEARNED, AND I FEEL LIKE IT IS THE MOST INSANE LEARNING ABOUT THINGS LIKE FREQUENCY VERSUS COVERAGE IS SO SUCH AN INSTRUCTIONAL WAY TO LEARN ABOUT BUDGETS.

YOU HAVE A LIMITED AMOUNT OF RESOURCES AND YOU HAVE TO DO THE BEST WITH THOSE RESOURCES, AND YOU CAN DO DIFFERENT WAYS.

YOU CAN GIVE EVERYBODY A BUS, BUT THEY'RE GOING TO HAVE TO WAIT TWO HOURS EVERY TWO HOURS FOR IT, OR YOU CAN CONCENTRATE IT WHERE IT'S GOING TO AFFECT THE MOST PEOPLE.

AND IN SO MANY WAYS YOU LEARN, THAT'S HOW YOU LEARN ABOUT BUDGETS TOO.

WHEN YOU'RE LOOKING AT THESE, THESE GIANT BUDGETS AND YOU LEARN ABOUT CHOICES AND TRADE-OFFS, AND, UM, HAVING TO MAKE INCREDIBLY HARD DECISIONS.

AND I'M GRATEFUL FOR THE COLLEAGUES I'VE HAD ON THIS BOARD AND THE AMAZING AND PROFESSIONAL CAP, METRO STAFF, I SAID THIS AT THE CITY, UH, CITY HAS ALSO RAISED THE BAR ON THE PROFESSIONALISM THAT YOU PROVIDE FOR CAP METRO.

UM, AS I MOVE ON TO THIS NEXT AGENCY, BECAUSE IT HAS BEEN SUCH A, SUCH A PLEASURE TO WORK WITH ALL OF THE STAFF AT CAP METRO AND YOUR PASSION FOR THE WORK THAT YOU BRING AND HOW WELL, UM, WE ALL ADJUST IT TO A NEW LEADER WHO, WHO, WHO, UM, HAS BEEN SUCH AN AMAZING PASSIONATE PERSON AND THE PASSING OF PROJECT CONNECT HAS REALLY BEEN A GAME CHANGER FOR OUR COMMUNITY.

UM, I, I I'VE THOUGHT THAT, YOU KNOW, THEY SAY EDUCATION IS THE GREATEST EQUALIZER.

I FEEL LIKE TRANSPORTATION, PUBLIC TRANSPORTATION IS, IS IT'S THE GREATEST MOBILE.

I DON'T, I COULDN'T THINK OF A GOOD ONE, BUT I THOUGHT GREATEST MOBILIZER, THE GREATEST CONNECTOR TO OPPORTUNITY.

AND YOU HAVE TO HAVE PUBLIC INVESTMENT TO BE ABLE TO CONNECT PEOPLE TO OPPORTUNITY IN SO MANY DIFFERENT AREAS IN GOVERNMENT, BUT ESPECIALLY IN PUBLIC TRANSPORTATION.

AND SO I'M GRATEFUL TO THE AUSTIN VOTERS WHO HAVE INVESTED IN OUR COMMUNITY.

IT IS A GAME CHANGER.

YOU WILL CHANGE PEOPLE'S LIVES, YOU WILL HELP CONNECT THEM TO JOBS AND THEIR HEALTHCARE APPOINTMENTS AND, AND SO MUCH OPPORTUNITY BECAUSE YOU INVESTED IN THIS COMMUNITY AND I'M SO INCREDIBLY GRATEFUL FOR YOU.

SO, UM, I, I WILL MISS WADE'S DAD JOKES.

I WILL MISS SO MUCH ABOUT, I WILL MISS ERIC'S QUESTIONS.

UM, I LOVED THEM AND I LOVE SEEING HIM, HIM, HIM GROW IN HIS POSITION.

UM, UH, TERRY ALWAYS HAD SO MUCH AMAZING INFORMATION TO SHARE ABOUT, YOU KNOW, HOUSING AND, AND, AND ADDED THAT.

UM, UM, I'M NOT, I WAS TRYING TO THINK OF WHAT I'D MISS ABOUT JEFF, BUT I'M NOT GONNA MISS IT BECAUSE I'M GOING TO BE, HE'S MY CLIENT NOW I'LL HAVE A BILL BE MY CLIENTS.

SO, UM, SO I'LL SEE JEFF A LOT AND SAME THING FOR YOU.

I'VE ALWAYS LOVED WATCHING AND DIG INTO AN ISSUE.

AND, AND, UH, UM, SHE'S SUCH A STEADFAST ADVOCATE IN SO MANY WAYS.

AND I LOVE, I LOVE WATCHING HER DIG INTO ISSUES AND PO SAY, YEAH, I FEEL LIKE THIS.

I SAID, SIMILAR THINGS ON THE COUNCIL GONNA MISS, YOU KNOW, YOUR, YOUR VERY LOCAL, UM, PERSPECTIVE OF THINGS.

AND, UM, DID I MISS ANYBODY AT ANY OF OUR BOARD MEMBERS? I DON'T THINK SO.

RIGHT.

OKAY.

IF I DID, I'M SORRY.

I THINK THERE WAS, AND I THINK I MISS SOMEBODY, BUT ANYWAY, UM, SO ANYWAY, THANK YOU SO MUCH.

IT'S BEEN A, IT'S BEEN AN AMAZING HONOR TO DISMISS DARKNESS MEMBER DAHLIA.

THAT'S ALL.

OH, OKAY.

WHO, I DIDN'T REALLY GET TO INTERACT MUCH WITH THAT.

SORRY.

UM, SO ANYWAY, THANK YOU SO MUCH AND GIGA, MAGGIE'S WAIT, I'M GONNA MISS, UM, GIVING YOU A HARD TIME OVER THAT.

THANK YOU.

THANKS, MATT AND VICE CHAIR.

WE'RE NOT DONE WITH YOU YET.

WE'LL GET ONE MORE, UH, ACTUALLY TWO MORE MEETINGS OUT OF YOU.

SO THE REST OF TODAY AND FRIDAY, WHICH WILL BE A FUN ONE, UH, WE WISH YOU THE BEST.

AND, UH, UH, SPEAKING FOR MYSELF, HOPE I DON'T HAVE TO DEAL WITH YOU IN YOUR PROFESSIONAL CAPACITY OR ANY OF THE PEOPLE WHO REPORT TO YOU.

THANK YOU VERY MUCH.

ALL RIGHT.

UH,

[II. Public Comment:]

WE'LL MOVE ON AND TAKE A PUBLIC COMMENT.

I THINK WE HAVE ONE SPEAKER TODAY, AND THAT IS, UH, UH, MR. SMITH.

IF YOU'RE ON THE LINE, YOU DON'T HAVE A THREE MINUTES OR WELCOME.

OKAY.

YES, I'M ON THE LINE.

UM, THANK YOU, MEMBERS OF THE BOARD.

UM, HOPE EVERYBODY CAN HEAR ME.

AND I APPRECIATE YOU RECOGNIZE IN THIS MEETING TODAY, I WOULD LIKE TO SPEAK ON BEHALF OF PAUL MITCHELL.

UM, I UNDERSTAND THAT COVID-19 IS AFFECTING, UH, SOME RIDERSHIP SOMEWHAT, AND IT'S AFFECTING LIFE IN GENERAL FOR A LOT OF PEOPLE, BUT A LOT OF THINGS THAT ARE, UM, THAT THE BUS OPERATORS

[00:15:01]

ARE GOING THROUGH BY, UM, SOME INDIVIDUALS SUCH AS INDIVIDUALS IN RADIO CONTROL THAT KEPT METRO RADIO CONTROL.

IT'S TOTALLY UNPROFESSIONAL.

UM, A LOT OF OPERATORS ARE CALLING IN WHERE WE'D HAVE SEVEN AND THE INDIVIDUALS THAT ARE TYPICALLY THE SAME HOMELESS INDIVIDUALS THAT ARE REFUSING TO COVER UP YOUR FACE, KEEP ON TAKING THEIR MASK OFF YOUR FACE.

AND WHEN THEY TAKE YOUR MASK OFF, A LOT OF TIMES THEY ARE COUGHING AND IT SOUNDS LIKE THEY HAVE COVID.

AND WHEN WE CAUGHT IT IN THE RADIO CONTROL, A LOT OF TIMES WE'RE HAVING SOME RADIO CONTROLLED DISPATCHERS TRYING TO FORCE THE OPERATORS TO CONTINUE IN SERVICE.

UM, AND WHILE WE DON'T HAVE TO MOVE THE UNIT, IF A PERSON IS NOT COVERING UP THEIR FACE, WHICH INCLUDES THEIR NOSE AND THEIR MOUTH FOR SAFETY ISSUES.

AND I WOULD APPRECIATE IT IF RADIO CAN SHOW TRUE THAT THE BUS OPERATORS MORE PROFESSIONALLY, AND IF THEY DIDN'T TRY TO HAVE OCC, THE OPERATIONS CONTROL CENTER MANAGERS WITH CAP, METRO, TRYING TO, UH, FORCE THE MV DISPATCHERS TO TELL THE, UM, BUS OPERATORS THAT WE NEED TO CONTINUE IN SERVICE OF A PERSON THAT'S NOT PROPERLY COVERING UP THEIR THINGS, BECAUSE WE'VE HAD A LOT OF BUS OPERATORS THAT HAVE DIED DUE TO COVID-19 AND I AM WAY TOO HANDSOME TO DIE, AND A LOT OF OTHER PEOPLE, UM, THAT SHOULD ALSO APPLY TO OTHER PEOPLE.

AND ALSO, I WOULD LIKE TO SAY, UM, THAT I WOULD LIKE RADIO CONTROL, WHICH SHOULD BE REFORMED.

AND I THINK THAT A LOT OF NEW OPERATORS NEED TO GET MORE TRAINING BECAUSE FOR SAFETY ISSUES, WHAT MYSELF AND A LOT OF OTHER PEOPLE ARE SEEING IS AN INCREASE OF BUS OPERATORS, GETTING ASSAULTED FOR BEING IN COMPLIANCE WITH OUR POLICIES AND STUFF.

AND THIS IS A LOT OF TIMES, A LOT OF THE BUS OPERATORS ARE GETTING ASSAULTED AGAIN BY THE SAME INDIVIDUALS THAT TYPICALLY, UM, ARE HOMELESS AND THAT EITHER ASSAULT AN OPERATOR ON ONE DAY, RIDE THE BUS AGAIN, THE, UM, THE NEXT DAY DO THE SAME THING TO ANOTHER OPERATOR.

AND OUR MV SUPERVISORS ARE NOT ABLE TO ISSUE A, UM, CRIMINAL TRUST HOUSE FROM THOSE SAME PROBLEM, INDIVIDUALS WRITING ALL OF CAP METRO UNITS.

SO THEY'RE DOING, THEY'RE ONLY ABLE TO DO CRIMINAL TRESPASSES AT PACIFIC BUS STOPS.

AND I THINK THAT NEEDS TO CHANGE BECAUSE IF SOMEBODY IS ASSAULTED ONE OPERATOR ON ONE DAY, THEN THE NEXT DAY COMES, THEY GET ON THE UNIT, ANOTHER UNIT AND DO THE SAME THING.

I THINK METRO NEEDS TO DO SOMETHING ABOUT THAT.

LOOK REGARDLESS, TOO SAME PROBLEM, INDIVIDUALS THAT ARE DELIBERATELY BILLING SERVICE.

THAT'S ALL I WOULD LIKE TO SAY.

AND, UM, IF YOU GUYS DID ASK THE, UM, MOST, I WOULD SAY PRACTICALLY ALL THE BUS OPERATORS THAT ARE DRIVING THE UNITS, IF WE FEEL SAFE OUT THERE, WE'RE ALL GONNA TELL, YOU KNOW, PRACTICALLY EVERYONE IS GOING TO TELL YOU MEL, DUE TO THESE SAFETY ISSUES AND, UM, OPERATORS SHOULD NOT BE GETTING ASSAULTED, UM, FOR TELLING INDIVIDUALS THAT THEY NEED TO WEAR A MASK OR SHOULD NOT BE ASSAULTED OR SPIT ON FOR ANY REASON.

AND I HOPE CAP METRO PROSECUTES PEOPLE TO THE FULLEST EXTENT BECAUSE WE DO NOT FEEL SAFE OPERATING THE UNIT.

AND I'M SPEAKING ON BEHALF OF EVERYBODY.

AND THAT'S ALL I HAVE TO SAY.

THANK YOU, MR. SMITH.

WE APPRECIATE YOUR COMMENTS AND APPRECIATE YOUR SERVICE OUT THERE.

AND ONCE YOU AND ALL THE OTHER, UH, OPERATORS TO REMAIN SAFE.

THANK YOU.

THANK YOU SO MUCH.

[III. Advisory Committee Updates]

UH, NEXT, UH, WE'LL TAKE UP OUR ADVISORY COMMITTEE UPDATES AND I THINK MR. BANKS IS STANDING BY GOOD AFTERNOON, CHAIRMAN COOPER, PRESIDENT CLARK, BEFORE YOU START, CAN WE JUST HAVE A MOMENT TO TAKE ALL THAT IN? YEAH.

OH, THE JACKET.

YEAH.

I WORK FOR YOU SUNSHINE.

THANK YOU.

I KNOWN PARTICIPANTS.

WE NEED PRAYER.

JUST BRIGHTEN UP THE DAY A LITTLE BIT.

IT'S CHRISTMAS TIME.

I WANT TO SHOW JUSTIN STYLE TODAY OR A BOARD MEMBER, 2 MILLION SOME STYLE TODAY.

SO YOU'RE SCHOOLING US ALL THE FLOOR IS YOURS.

THANK YOU, SIR.

UH, YEAH, I'M WAITING FOR YOU TO HAVE SOME WAITING FOR YOU TO PULL OUT A SAXOPHONE OR SOMETHING, MAN.

YOU DON'T WANT TO, IT WAS A SOLO.

WELL, IF I DID, THE BOARD MEETING WILL END EARLY.

SO IF THAT'S YOUR GIRL, WE CAN DO THAT.

BUT I THINK THEY HAVE A LOT OF BUSINESSES TO TAKE CARE OF.

SO, UH, I WOULDN'T HURT

[00:20:01]

YOU ALL LIKE THAT.

UH, JADA'S BANGS COMMUNITY ENGAGEMENT COORDINATOR FOR CAPITAL METRO, UH, UPDATE ON THE ACCESS AND SEE FAC ADVISORY COMMITTEES.

UH, WE STILL HAVE BEEN DOING THESE COMMITTEES MEETING VIRTUALLY, AND WE'LL BE DOING THOSE FOR THE FORESEEABLE FUTURE UNTIL A TIME THAT'S DEEMED WELL ENOUGH FOR US TO GO BACK AND BE IN PUBLIC OR IN THE SAME ROOM AGAIN.

UH, BUT FOR US ACCESS, THEY DID GET A PROJECT CONNECT UPDATE, UH, WHICH WASN'T TOO MUCH FROM THE NOVEMBER UPDATES.

UH, THEY WERE UPDATED ON THE JANUARY SERVICE CHANGES THAT WILL BE HAPPENING.

BUT ONCE AGAIN, ISN'T THAT TOO MUCH OF A SERVICE CHANGE, UM, DUE TO COVID.

SO THAT WAS FAIRLY EASY.

THEY WILL UPDATE IT ON THE CAP ON THE METRO ACCESS ANNUAL METRICS OF HOW THIS PAST YEAR HAS, HAS GONE.

I STARTED OFF, UM, YOU KNOW, SOMEWHAT ROCKY AND, BUT GET BETTER THROUGHOUT THE YEAR.

OF COURSE THEY DID THAT.

WE DID HAVE THE, THE SYSTEM UPDATE, UH, THAT WE WERE GOING THROUGH WITH METRO ACCESS.

AND SO IT WAS ABLE TO WORK THOSE THROUGH THOSE KINKS AND THE SERVERS ARE GETTING BETTER AND PLUS ALL THE SERVICES THEY WERE DOING TO FEED THE FAMILIES, UH, AND PROVIDE WIFI SERVICE DURING THIS TIME OF COVID.

UH, AND THEN THEY WERE, WE HAVE SOME NEW MEMBERS ON ACCESS THAT HAD JOINED A FEW MONTHS AGO.

ALTHOUGH OF COURSE IT WAS DURING THE TIME OF COVID.

SO WE GAVE A UPDATE, A BRIEFING ON HOW PARATRANSIT AND FIXED ROUTE, BOTH COMPLEMENTED EACH OTHER, OR HOW FIXED ROUTE COMPLIMENTS, I'M SORRY, HOW TRANSIT COMPLIMENTS, UH, FIXED ROUTES.

SO THEY'D HAVE A BETTER UNDERSTANDING OF WHAT'S COVERED IN THE METRO ACCESS ZONE.

UH, AND THEY HAD BOARD ELECTIONS OR, OR POSITION ELECTIONS, AND THERE WAS NO CHANGE AND THE ELECTED OFFICERS, UH, WHERE WE WILL STILL HAVE THE SAME CHAIR AND VICE CHAIR, UH, AND SECRETARY GOING TO THE NEXT YEAR.

UH, AND THEN FOR C-SECTION FOR A C-SECTION, UM, WE ACTUALLY HAD QUORUM JUST TIME.

SO WE WERE ABLE TO, I MADE SURE WE PASS THE MINUTES, UH, THAT WE HADN'T, UH, BEFOREHAND.

UH, SO WE WERE ABLE TO GET THAT DONE.

UH, THEY WERE UPDATED ON PROJECT CONNECT, UH, WAS THE GAME FOR THEM.

THERE WASN'T TOO MUCH OF A UPDATE FROM THE LAST TIME THAT THEY WERE BRIEF.

THERE WAS SOME COMMUNITY CONVERSATIONS BY RUBIN, UH, WHO WAS WONDERING ABOUT VANPOOL WAS BEING, BEING ABLE TO BE USED IN LOW INCOME HOUSING, IF THEY COULD BE A VANPOOL SPOT WHERE PEOPLE COULD USE THAT TO GO TO WORK AND WHAT HAVE YOU, AND, UH, TANKY DIDN'T LET THEM KNOW.

YES.

AND SHE'LL PUT THEM IN CONTACT WITH TANGIE QUINN ABOUT SOME OTHER QUESTIONS HE HAD TO TRY TO HELP FIT.

MAYBE SOME OF THOSE GAPS THAT WE HAVE, UH, WERE FOLKS HAVING TO WALK A LONG WAY TO CATCH THE BUS.

UM, THEY WERE ALSO BRIEFED ON THE JANUARY SERVICE CHANGE, UH, BY LAWRENCE DIETER AS WELL.

UH, AND THEN THEY HAD THEIR ELECTIONS AND HE FROM TAYLOR TATUM, TAYLOR WAS, UH, NOMINATED.

THE PRESIDENT IN CANNES WAS HE'S THE CURRENT PRESIDENT.

AND HE'LL BE SERVING AGAIN AS WELL AS BJ AS THE VICE CHAIR.

SO, UH, THAT'S IT.

UM, AND ONCE AGAIN, WE DID GET PAST A MINUTES AND SO THAT'S ALL FOR ACCESS AND CC.

I WILL GLADLY HANDLE ANY QUESTIONS THAT JOB MAY QUESTIONS FOR, UH, MR. BANKS BESIDES, UH, WHERE I GOT THAT SUIT, THE JACKET.

UH, IT WAS ACTUALLY FROM JC PENNY'S SHOCKINGLY.

ALL RIGHT.

VERY WELL.

THANK YOU, JADA.

THANKS FOR BRINGING THOSE SUNSHINE.

YES, THERE

[IV. Board Committee Updates]

WE'LL MOVE ON TO A BOARD COMMITTEE UPDATES AND, UH, UH, SOMEWHAT LESS SPLENDIDLY ATTIRED, UH, UH, CHAIR TERRY MITCHELL TO GIVE US A FINANCE AUDIT AND ADMINISTRATION COMMITTEE REPORT.

I WILL NEVER BE AS COLORFUL AS YOU HONEST, I'M NOT CAPABLE.

THAT'S GREAT.

A FINANCIAL AUDIT AND ADMINISTRATION COMMITTEE MET ON DECEMBER 7TH.

IN ADDITION TO APPROVING THE MINUTES, IT APPROVED A RESOLUTION, UH, REGARDING THE PERFORMANCE REVIEW OF THE VICE PRESIDENT OF INTERNAL AUDIT.

IT ALSO APPROVED THE RESOLUTION, UH, MODIFYING THE CONTRACT WITH CROFT HEIMER AND ASSOCIATES, GREG MOSHER FOR EXECUTIVE RECRUITING SERVICES, UH, AND THE AMOUNT OF 275,000 FOR A TOTAL NOT TO EXCEED AMOUNT OF NINE 23 AND 123,000.

IT ALSO PROVED THE RESOLUTION AUTHORIZING THE PRESIDENT AND CEO, OR HAS BASICALLY BEEN TO AMENDED INTER LOCAL AGREEMENT WITH AUSTIN COMMUNITY COLLEGE.

IT'S ON HER, I BELIEVE ON OUR AGENDA TODAY.

UH, WE HAD PRESENTATIONS ON A ANNUAL RISK ASSESSMENT AND THEN OUR INTERNAL AUDIT REVIEW.

AND THAT WAS IT.

GOOD.

THANK YOU.

UM, WOULD YOU LIKE TO GIVE US A CAMPO UPDATE AS WELL? CAMPO DID NOT MEET THIS MARK, SO NO UPDATE, THANK A AS WELL OPS COMMITTEE WASN'T ABLE TO MEET THIS MONTH.

SO NO, UH, DATE FROM CHURCH PAVILION, UM, THAT CONCLUDES OUR BOARD COMMITTEE UPDATES.

THEN WE'LL

[V. Consent Items]

MOVE ON TO THE, UH, CONSENT ITEM, UH, CONSENT ITEMS ON OUR AGENDA.

ARE ANY, ARE THERE ANY BOARD MEMBERS WHO WISH TO REMOVE AN ITEM FROM THE CONSENT AGENDA? WE HAVE THREE.

UH, NUMBER ONE IS APPROVAL OF THE MINUTES FROM THE NOVEMBER 23RD BOARD MEETING.

NUMBER

[00:25:01]

TWO IS APPROVAL OF A CONTRACT MODIFICATION WITH, UH, KRAUTHAMMER AND ASSOCIATES FOR EXECUTIVE RECRUITING SERVICES.

AND NUMBER THREE IS APPROVAL OF AN AMENDMENT TO THE INTERLOCAL AGREEMENT WITH AUSTIN COMMUNITY COLLEGE FOR STUDENT AND EMPLOYEE TRANSIT PASSES.

UM, CHAIR WILL ENTERTAIN A MOTION AND A SECOND, UH, WITH RESPECT TO OUR CONSENT AGENDA.

I MOVE APPROVAL OF THE CONSENT AGENDA.

THAT WOULD BE COMMISSIONER TREVELYAN WITH THE MOTION.

IS THERE A SECOND, SECOND, UH, NUMBER MITCHELL, ANY DISCUSSION ON THIS ITEM, HEARING NO DISCUSSION THEN, UH, I'LL, UH, CALL A ROLL FOR A VOTE.

UH, MAYOR HILL I THINK, IS NOT PRESENT, UH, MEMBER RENTER, MARIA, UH, MEMBER STRATTON.

YES.

UH, VICE CHAIR GARZA.

YES, IT WAS MAYOR HILL THAT I FORGOT.

SORRY, MAYOR HILL.

I DIDN'T.

I THINK I SAT ON THE DICE WITH YOU ONE TIME.

SORRY ABOUT THAT.

UH, MEMBER KITCHEN.

UH, YES.

REMEMBER TREVELYAN UH, REMEMBER MITCHELL COOPER IS A YES AS WELL.

THAT'S A ONE, TWO, THREE, SEVEN TO ZERO, UM, WITH ONE MEMBER, UH, NOT PRESENT.

THANK YOU.

[VI.1. Approval of a resolution authorizing the President & CEO, or his designee, to execute a contract modification with HNTB Engineering, Inc. in the amount of $18,540,965 for two one-year option periods for Phase II of the Blue Line Engineering Services to complete the Environmental and Preliminary Engineering phase of the program.]

UH, NEXT WE'LL, UH, TAKE UP OUR FOUR ACTION ITEMS. WE HAVE FOUR ITEMS, BUT TWO OF THOSE WILL TAKE PLACE AFTER OUR EXECUTIVE SESSION.

SO I'D LIKE TO TAKE UP THE FIRST TWO NOW AND THEN DEFER THE SECOND TOOL TO, UNTIL AFTER THAT SESSION THAT MR. COUCH, SINCE BOTH OF THESE ITEMS ARE YOURS, THE FLOOR IS YOURS AS WELL.

OKAY.

THANK YOU.

CHAIR COOPER MEMBERS OF THE BOARD, UH, PRESIDENT AND CEO CLARK.

UH, GOING TO GO AHEAD AND GIVE YOU A PRESENTATION TODAY, OUR LATEST UPDATE, UH, PROJECT CONNECT, UH, AND A COUPLE OF ACTION ITEMS THAT GO WITH IT.

OKAY.

IS THAT SHOWING UP ON EVERYBODY'S SCREEN NOW? OKAY.

UH, JACKIE AND I ARE GOING TO GO AHEAD AND SPLIT THIS.

SO JACKIE, IF YOU'D GO AHEAD AND DO THE FIRST SLIDES, I WOULD APPRECIATE IT.

SURE.

DAVE, GOOD MORNING, EVERYBODY.

GOOD MORNING.

UH, CHAIRMAN COOPER, BOARD MEMBERS, PRESIDENT CLARK.

IT IS MY PLEASURE TO KICK US OFF TODAY ON OUR UPDATE FOR THE PROJECT CONNECT PROGRAM.

UM, SO YES.

THANK YOU, DAVE.

SO TODAY'S UPDATE WILL INCLUDE AN UPDATE ON COMMUNITY ENGAGEMENT, METRO RAPID VIRTUAL MEETINGS, THE RED LINE NEIGHBORHOOD CIRCULATORS AND THE BLUE AND ORANGE LINE SCOPING.

NEXT SLIDE.

THANK YOU.

SO WE ARE VERY EXCITED TO KICK OFF OUR COMMUNITY ENGAGEMENT EFFORTS.

UM, IN JANUARY WE'LL BE DOING VIRTUAL SCOPING MEETINGS FOR BOTH THE ORANGE AND THE BLUE LINES.

UM, THE TOPICS WILL INCLUDE HISTORY AND ENVIRONMENTAL PROCESS, THE PURPOSE AND NEED SOME OF THIS WILL BE REVIEWED FOR THE PUBLIC.

UM, BUT WE ALSO KNOW THAT THERE ARE FOLKS THAT ARE JUST LEARNING ABOUT WHAT PROJECT CONNECT IS ALL ABOUT AND, AND HOW WE GOT WHERE WE ARE.

UM, SO WE'LL BE REVIEWING THE PURPOSE AND NEED THE GOALS AND OBJECTIVES, UH, ENVIRONMENTAL RESOURCES THAT WE'RE GOING TO BE STUDYING.

UM, THE AGENCIES THAT WE'RE WORKING WITH AND WHAT THEIR INVOLVEMENT IS IN THIS PROCESS.

AND OF COURSE WE'LL BE TELLING FOLKS HOW THEY CAN GET INVOLVED.

UM, WE ALSO WILL CONTINUE OUR NEIGHBORHOOD OUTREACH.

SO IF YOU LOOK TO THE RIGHT ON THE SLIDE, YOU'LL SEE THE LIST OF VIRTUAL MEETINGS THAT WE ALREADY HAVE PLANNED FOR LATE JANUARY, BEGINNING ON JANUARY 25TH WITH THE ORANGE LINE, UM, FOLLOWED BY ONE IN SPANISH, THE FOLLOWING DAY AT NOON, UM, THE 27TH AND THE 29TH AT NOON.

THESE WILL ALSO BE ACCOMPANIED BY A VIRTUAL OPEN HOUSE, WHICH IS BASICALLY A SELF GUIDED, UM, COMMUNITY MEETING THAT PEOPLE CAN DO ON THEIR OWN TIME VIA OUR PROJECT CONNECT WEBSITE.

THEN WE'LL BE DOING THE BLUE LINE SCOPING MEETINGS ON THE 26TH OF JANUARY, THE 27TH OF JANUARY AND SPANISH, ANOTHER ONE ON THE 28TH AND ANOTHER ON THE 29TH.

SO AS YOU CAN SEE, WE ARE ALREADY OFF TO THE RACES WITH OUR COMMUNITY ENGAGEMENT AND I'LL PASS IT BACK TO DAVE FOR THE PROGRAM UPDATES.

UM, I THINK THERE WAS A QUESTION FOR OUR MEMBER KITCHEN CHAIR.

WOULD YOU, WOULD YOU RATHER, I WAIT UNTIL THEY FINISH OR WOULD YOU LIKE ME TO ASK QUESTIONS NOW? WHY DON'T WE LET DAVE MAKE THE PRESENTATION AND THEN I'LL COME BACK TO YOU IF THAT'S ALL RIGHT.

OKAY.

THAT'S FINE.

[00:30:03]

AS WE GO AHEAD.

AND, UH, THIS IS FREEZING COMING BACK IN DAVE, IT LOOKS LIKE YOU'RE HAVING SOME ISSUES, BUT DOES ED HAVE THIS? THAT COULD JUST BROADCAST IT INSTEAD? IT KEEPS FREEZING.

CAN YOU PICK IT UP? YEAH.

IT'S SLIDE NUMBER FIVE.

CAN YOU BACK UP SLIDE FIVE? I NEED TO GET BACK TO LIKE THREE.

THIS MAY MUST BE A, HOW 2000 A COMPUTER.

SORRY, DAVE.

THAT'S NOT POSSIBLE.

OKAY.

UH, NEXT ONE, GO AHEAD, PLEASE.

UH, BASICALLY AS YOU RECALL, WE WENT THROUGH THE PROCESS, UH, THIS SPRING, UH, TO GET TO THE POINT THAT WE WOULD HAVE THE INITIAL INVESTMENT, UH, THAT WAS APPROVED AND ACTED ON WITH THE LPAS, UH, AND THE ADOPTION OF THE MAP AT THE BEGINNING OF JUNE, UH, WE THEN WENT FORWARDS TO THE PROCESS OF GOING AHEAD AND GETTING THE REFERENDUM SET UP, UH, AND THEN ONTO THE BOAT.

AND AS IT WENT FORWARD, WHAT WE HAD WAS THE INITIAL INVESTMENT.

THAT WAS $7.1 BILLION THAT CONTAINS EACH ONE OF THE SECTIONS OF THE HIGH CAPACITY, LIGHT RAIL LINES, UH, INCLUDING THE DOWNTOWN TUNNEL, UH, SOME METRO RAPID MINES, THE GREEN LINE AND IMPROVEMENTS ON THE RED LINE.

NEXT SLIDE, PLEASE, SPECIFICALLY UPDATES AS WE START TO GO FORWARD, UH, ON THE LINES THAT WE'VE GOT FOR METRO RAPID, UH, WE'RE GOING TO START AN ONLINE SURVEY, UH, IN JANUARY TO GO AHEAD AND GET INPUT, UH, ON THE LINE STATION LOCATIONS AND THINGS OF THAT NATURE.

WE'LL START VIRTUAL MEETINGS IN FEBRUARY AND MARCH.

UH, THE SAME TYPE OF MEETINGS THAT WE HAVE FOR, UH, THE ORANGE AND THE BLUE LINES.

ONLY THESE WILL FOCUS ON EACH ONE OF THE LINES THAT WE WILL HAVE THE THREE FOR METRO RAPID WE'RE IN THE NEPA PROCESS AND PRELIMINARY ENGINEERING, UH, FOR PLEASANT VALLEY AND FOR THE EXPO LINE.

AND WE'RE WORKING THROUGH WITH COORDINATION WITH FTA ON THE THIRD LINE, WHICH IS A SOUTH LAMAR EXTENSION TO OAK HILL.

NEXT LINE IN TERMS OF THE SEQUENCE AND TIMELINE.

UH, WE'RE HERE IN JANUARY, STARTING AT DISCHARGE TO GO AHEAD AND MOVE THROUGH THE SPRING, UH, TO COMPLETE, WHAT'S GOING TO BE THERE FOR THE 30% DESIGN, UH, AND THE CATEGORICAL EXCLUSION.

UH, WE'LL CONTINUE TO GO AHEAD AND GO THROUGH THE SUMMER, FINISHING UP THE ENVIRONMENTAL CLEARANCE AND THEN TO CONSTRUCTION PROCUREMENT, TO BE ABLE TO GO AHEAD AND GET WORK STARTED IN THE FIELD.

AND THEN THIS FALL BEGAN WORK FOR CONSTRUCTION, UH, WITH THE INSTALLATION OF SOME OF THE STATIONS ON EXPO AND PLEASANT VALLEY, UH, LOOKING AT IN THE WINTER OF 22, UH, V IN THE VEHICLE AND SERVED AS TESTING, UH, WITH BEING ABLE TO GO AHEAD AND GO LIVE, UH, IN THE SPRING OF 2022 WITH THE START OF REVENUE SERVICE.

NEXT SLIDE

[00:35:04]

ON THE, UH, RED WINE RIGHT NOW.

UH, WE HAVE CONTINUED WITH THE DESIGN WORK FOR THE SECOND TRACK, UH, FROM LEANNE, FROM LEANDER TO LAKELINE.

UH, WE'LL FINISH OFF THE A HUNDRED PERCENT DESIGN AND THEN EXPECT TO BE ABLE TO START CONSTRUCTION SOMETIME THIS SUMMER.

UH, WE'VE INITIATED THE DESIGN FOR THE MCCULLOUGH STATION, UH, AND WE'RE MOVING FORWARD WITH THAT.

UH, AS THE STADIUM PROGRESSES, WE'VE CONTINUED COORDINATION WITH A DEVELOPER FOR, UH, THE BROADMORE COMPLEX, AND WE EXPECT THAT IN THIS SPRING, WE'LL BE ABLE TO BREAK GROUND AND TO START WORK ON THAT NEW STATION.

SO THESE ARE THE THREE ITEMS THAT ARE CONTAINED WITHIN THE RED LINE PORTION OF THE PROJECT CONNECT BUDGET.

NEXT LINE, NEXT, LOOKING AT THE NEIGHBORHOOD CIRCULATORS, UH, WE'VE GOT SEVEN ZONES THAT ARE OUT AND OPERATING RIGHT NOW ACROSS THE REGION.

THERE'S THREE ADDITIONAL ZONES THAT ARE UNDER DEVELOPMENT.

UH, ONE WILL BE PFLUGERVILLE THE SECOND, UH, NORTH DESA.

AND THIRD ONE WOULD BE DOWN IN THE SOUTHWEST.

WE'RE LOOKING TO GO AHEAD AND FINISH OFF THE STREET, SHUT THE SERVICE STANDARDS, AND TO BRING THOSE BACK TO THE BOARD FOR ADOPTION AT THE JANUARY MEETING NEXT, BY WHAT, AS WE'VE GONE FORWARD WITH THE INITIAL WORK THAT WE HAD DONE ON THE ORANGE AND ON THE BLUE LINE, WE HAVE FINISHED UP WHAT'S THERE FOR TASK NUMBER ONE, WHICH WAS GETTING US TO THE POINT THAT WE HAD THE ADOPTED SYSTEM MAP.

AND WE HAD THE LOCALLY PREFERRED ALTERNATIVES.

NOW IT'S TIME TO TURN THE PAGE, UH, AND GO ON TO TASK NUMBER TWO, WHICH WILL GET US FROM WHERE WE CURRENTLY ARE OUT THROUGH A RECORD OF DECISION AND THE NEXT STEP IN THE PROCESS.

SO WHAT WE WANT TO DO IS TO PROVIDE CONTRACT UPDATES FOR THE ORANGE LINE, THE BLUE LINE, AND THE PMO, OUR CONTRACTS.

NEXT SLIDE, WE'VE GONE THROUGH A PROCESS THAT STARTED IN THE FALL OF 2018, AND WE HAD THE SELECTION THAT WE MADE FOR THE PRO PROGRAM MANAGEMENT OWNER'S REPRESENTATIVE HDR ENGINEERING THAT HAPPENED EARLY IN 28, LATE IN 2018, UH, THE ORANGE LINE WITH THE SELECTION THAT WE MADE OF EIGHT E-COM AND THAT WAS AWARDED IN 2019.

UH, AND THEN IN, UH, IN APRIL OF 2019, WE HAD THE BLUE LINE.

SO WE HAD ALL THREE OF THOSE TO GO AHEAD AND GO THROUGH WHAT THE FIRST TASK WOULD BE, WHICH IS TO GO AHEAD AND HAVE THE PROCESS IN PLACE TO GET TO THE LPAS.

AND THEN LATER GO ON TO TASK.

NUMBER TWO, ONCE WE WERE AT THE POINT THAT THINGS LIKE THE MODE, WHAT HAD BEEN DECIDED THE BASIC LOCATIONS, SO THAT WERE ABLE TO GO AHEAD AND GET THAT IN PLACE SO THAT WE PUT THINGS SO THAT THERE WAS ONE AND TWO TASKS IN THEIR CONTRACT.

WHEN WE INITIALLY WORKED THROUGH THOSE CONTRACTS IN THE FALL OF 18, WE STARTED THAT FEDERAL AND COMMUNITY PROCESS.

AS WE WENT THROUGH THE SPRING, THE ASM P WAS ADOPTED, WHICH GREATLY MADE WAY FOR THE DEDICATED, UH, TRANSIT WAY, UH, ON ALL OF THE MAJOR STREETS THAT WE'RE GOING TO GO AHEAD AND HAVE THE LIGHT RAIL.

WE WENT THROUGH CONCEPTUAL ENGINEERING, UH, AND THEN ULTIMATELY THROUGH THE POINT THAT WE GOT WITH THE LPA IS IN JUNE OF THIS PAST YEAR, NEXT ONE, WE CAN GO AHEAD AND MOVE FORWARD UNDER TASK.

NUMBER ONE, THERE WAS AN EXTENSIVE COMMUNITY ENGAGEMENT PLAN THAT WAS DEVELOPED.

UH, WE WENT AHEAD AND PIVOTED WHEN THE, UH, WE GOT TO THE POINT THAT THE VIRUS WAS HERE TO GO AHEAD AND GO FORWARD, UH, WITH THAT IN A VIRTUAL MODE.

UH, AND AS JACKIE SAID EARLIER, WE'RE GOING TO DO THE SAME THING AS WE, UH, MOVE FORWARD WITH THE REST OF THE PROGRAM, UH, SELECTION OF LOCALLY PREFERRED ALTERNATIVE THE FUNDING PLAN, AND THEN TO GET ADOPTION OF PROP A IN THE FALL.

SO NOW THAT WE'VE GOT PROP A, NOW THAT WE'RE READY TO GO AHEAD AND TURN THE CORNER, WE'RE GOING TO GO ON TO THE NEXT TASK.

AND EACH ONE OF THESE TASKS WAS INCLUDED IN THE SCOPE OF THE OVERALL PROGRAMS. UH, THEY JUST WERE NOT AT THAT POINT IN TIME CHRIST, UH, BECAUSE WE DID NOT KNOW WHAT WAS GOING TO HAPPEN WITH THE SELECTION OF THE MODE AND MANY OTHER THINGS.

SO NOW THAT WE KNOW WHAT THOSE ARE, AND WE'VE GOT THE LPAS, WE'RE ABLE TO GO AHEAD AND MOVE FORWARD WITH THE COMMUNITY ENGAGEMENT.

AND AS JACKIE SAID, THOSE HAVE BEEN SCHEDULED AND THEY START AT THE END OF JANUARY, WE'RE GOING TO KEEP THE SAME FORMAT THAT WE DID IN THE SPRING, UH, WITH EVERYTHING BEING VIRTUAL.

AND WE'LL MAKE SURE THAT WE'VE GOT PLENTY OF TIME FOR QUESTIONS

[00:40:01]

AND SUGGESTIONS AS WE GO AHEAD AND GO FORWARD.

SO WHAT WE'LL DO IS WE'LL DEFINE AND LOOK AT WHAT THAT SCOPE IS THE LEVEL OF EFFORT TO BE ABLE TO GO AHEAD AND GET THROUGH THAT ENVIRONMENTAL AND PRELIMINARY ENGINEERING PHASE.

UH, THE CONTRACTS AS WE BEGAN MOVING FORWARD WILL BE IMPLEMENTATION OF THE INITIAL INVESTMENT PROGRAM.

NEXT SLIDE.

THIS WOULD GIVE YOU A TIMELINE FOR HOW WE GO AHEAD AND MOVE FORWARD.

UH, WITH BEGINNING THAT PUBLIC PROCESS IN JANUARY, AS I SAID, A FEW MINUTES AGO, A NOTICE OF INTENT, WHICH IS A FEDERAL TERM THAT HAS TO BE PUBLISHED IN THE FEDERAL REGISTER TO START THE PROCESS GOING THROUGH A DRAFT ENVIRONMENTAL IMPACT STATEMENT, REALLY AS THE FIRST PORTION OF A COMPLETE REPORT, WORKING THROUGH AN FDA INITIAL RATING PACKAGE IN THE FALL OF 22, THE SAME KIND OF RATING PACKAGE THAT WE DEVELOPED THIS PAST YEAR, UH, FOR BOTH OF THE TWO METRO RAPID STARTS FINALLY IN THE WINTER OF 22, UH, COMING TO A CONCLUSION WITH THE FINAL ENVIRONMENTAL IMPACT STATEMENT AND ACHIEVING A RECORD OF DECISION.

AND THEN EARLY IN 23, BEING ABLE TO TAKE THAT NEXT STEP OUT OF PROJECT DEVELOPMENT AND OVER INTO THE ENGINEERING PHASE, NEXT SLIDE TASK.

NUMBER TWO, UH, AS WE GO THROUGH THE ENVIRONMENTAL AND THE PRELIMINARY ENGINEERING, WE'VE DEVELOPED A WORK PLAN THAT WILL BE THERE FOR THE ORANGE LINE AND THE BLUE LINE, UH, THEY WILL BE DONE IN PARALLEL, SO THAT WE'RE ABLE TO GO AHEAD AND AS JACKIE SHOWED IN THE MEETING SCHEDULE, UH, BASICALLY MEETINGS THAT ARE EITHER THE SAME DAY OR A DAY APART.

UH, SO WE'RE BRINGING ALONG BOTH OF THE PROJECTS AT THE SAME TIME.

UH, WE'LL HAVE THE COMMUNITY ADVISORY COMMITTEE, EXTENSIVE COMMUNITY ENGAGEMENT TO BE ABLE TO GO AHEAD AND GET COMMENTS AND SUGGESTIONS.

WE'LL MAKE SURE WHEN WE HAD THE VIRTUAL MEETINGS, THAT THERE'S PLENTY OF TIME TO BE ABLE TO DO THAT.

THIS PART OF THE PROGRAM WITH GOING THROUGH THE ENVIRONMENTAL PHASE FOR NEPA IS A VERY, VERY STRUCTURED PROCESS.

SO WE'VE GOT TO COMPLY WITH ALL OF THE NEPA PROCESS AND ALL OF THE REQUIREMENTS AND NOTIFICATIONS AS WE GO FORWARD.

SO IT WILL BE A LITTLE MORE STRINGENT THAN WHAT WE HAD AS WE WENT THROUGH TASK.

NUMBER ONE ON THE ENVIRONMENTAL WE'LL LOOK AT ENVIRONMENTAL BENEFITS.

WE'LL LOOK AT MOBILITY, WE'LL HAVE INVOLVEMENT FROM PARTNERSHIPS WITH FEDERAL AND STATE AGENCIES.

WE'LL GO INTO THE PROJECT DEVELOPMENT PHASE.

AND AS I SAID EARLIER, GET THE PROJECT RATINGS.

SO AS WE GO THROUGH THE PRELIMINARY ENGINEERING, WE'RE GOING TO LOOK AT THE BASIC DESIGN ELEMENTS IMPROVEMENTS IN THE QUARTERS.

AND THEN AT THE COMPLETION ENTRY INTO PROJECT ENGINEERING WITH COMPLETION OF WHAT WE HAVE GOT FROM THE PROJECT DEVELOPMENT PHASE.

NEXT TIME, ALONG WITH THAT TO ACHIEVE THE RATINGS, UH, THIS IS ONE HALF OF WHAT YOU HAVE TO DO FOR THE FEDERAL PROCESS.

EACH ONE OF THESE SIX DIFFERENT COMPONENTS IS EVALUATED AS WE GO THROUGH THE DEVELOPMENT OF THE NEPA DOCUMENT TO GET TO THE END IN TO THAT RECORD OF DECISION.

THIS GIVES US THE ABILITY AS WE GO FORWARD, UH, WITH THE RATING TO BE ABLE TO GET IN THE QUEUE, TO GO FORWARD WITH THE FEDERAL PARTICIPATION AND THE FEDERAL SHARE.

SO WE'RE LOOKING AT THINGS THAT ARE RIDERSHIP.

WE'RE LOOKING AT NEW WRITERS, WE'RE LOOKING AT BENEFITS COMPARED TO WHAT THE COST IS.

WE'RE LOOKING AT FUTURE DEVELOPMENT AND EXISTING CONDITIONS, ALL OF THOSE TYPE OF JUSTIFICATION FACTORS THAT ARE THERE.

ALL SIX OF THEM ARE INCLUDED.

ALL OF THEM HAVE THE SAME WEIGHT AND YOU HAVE TO GET TO A MEDIUM RATING FOR ALL SIX, A COMBINATION OF THE SIX OF THEM.

THE NEXT SLIDE GIVES YOU WHAT IT IS ON THE FINANCIAL ASPECTS.

AND THE PART THAT'S THERE WITH THIS IS THE TRE PUTS US WAY AHEAD AND GIVES US A LOT OF BACKING TO BE ABLE TO GET A VERY GOOD SCORE ON THE FINANCIAL ASPECT.

IT LOOKS AT THE CURRENT FINANCIAL CONDITION.

IT LOOKS AT THE COMMITMENT OF FUNDS AND IT LOOKS AT THE REASONABLENESS OF THE FINANCIAL PLAN.

SO ALL OF THESE AS A RESULT OF THE TRE AND THE VOTE ON THE 3RD OF NOVEMBER, PUT US IN A VERY, VERY GOOD PLACE WITH RESPECT TO THE LOCAL FINANCIAL COMMITMENT NEXT TIME, OKAY.

SPECIFICALLY ON UPDATES.

UH, AND THIS ONE IS THE ORANGE LINE, UH, WITH, WITH THE CONTRACT THAT WE HAVE HAD IN PLACE, UH, WITH A E-COM, UH, THEY HAVE FINISHED OFF WHAT IS THERE THROUGH THE FIRST STAGE THROUGH TASK NUMBER ONE,

[00:45:01]

UH, AS I'VE SAID BEFORE, WITH THE LPAS NOW, AS WE GO IN TO TASK NUMBER TWO, WITH THE DETAILED ENVIRONMENTAL AND PRELIMINARY ENGINEERING, THAT WE'LL GO AHEAD AND COMPLETE WHAT THE SCOPE HAS BEEN SINCE WE AWARDED THE CONTRACT, UH, TO A E-COM.

SO ANYTHING THAT COMES BEYOND THAT BEYOND THE END OF THIS CONTRACT, UH, WILL THEN FUTURE DESIGNS AND CONSTRUCTION CONTRACTS WILL BE DEVELOPED AND AWARDED BY THE ATP.

NEXT SLIDE, PLEASE.

LIKEWISE, ON THE BLUE LINE, UH, WE COMPLETED UNDER TASK NUMBER ONE, UH, THE LPA FOR THAT LINE, UH, THE INITIAL ENGINEERING, AND THAT WAS ALSO PART OF THE OVERALL PROOF SYSTEM PLAN.

AS WE GO TO TASK, NUMBER TWO, IT WILL INCLUDE THE SAME COMPONENTS OF THE DETAILED ENVIRONMENTAL AND ENGINEERING.

AND AT THE CONCLUSION THAT TASK TWO, IT WILL COMPLETE THAT CONTRACT.

IN ESSENCE, BOTH THE CONTRACT FOR THE BLUE LINE AND THE ORANGE LINE WHEN THEY ARE COMPLETE, THE NEXT STEP IN ANY OF THE DESIGN AND CONSTRUCTION CONTRACTS WILL BE DEVELOPED AND AWARDED UNDER THE ATP.

NEXT SLIDE, WE ALSO HAVE UNDER CONTRACT, AND IT WAS REALLY THE FIRST ONE THAT WE PUT IN PLACE, UH, IN DECEMBER OF 2018, UH, THAT WAS FOR THE PROGRAM MANAGER OVER OWNER'S REPRESENTATIVES.

THEY PROVIDE BASICALLY SUPPORT TO THE PROGRAM PROGRAM MANAGEMENT REVIEW OF THINGS THAT ARE THE ENVIRONMENTAL DOCUMENTS THAT COME FORWARD, PARTICIPATE AND ENGAGE WITH THE COMMUNITY.

AND THEY ALSO SERVE A FUNCTION OF BEING ABLE TO HAVE THAT QUALITY ASSURANCE QUALITY CONTROL OVER ALL THE COMPONENTS THAT ARE SUBMITTED AND REVIEWED BY THE BLUE AND THE ORANGE LINE.

NEXT TIME WITHIN EACH ONE OF THESE CONTRACTS, UH, THERE IS A DBE GOAL, AND AS WE DEVELOP THE CONTRACTS, THERE WAS A GOAL THAT WAS SET IN PLACE WITHIN THE CONTRACTS THAT WAS ADVERTISED FOR PROPOSALS THAT FOR THE TWO AND THE TWO ENVIRONMENTAL AND PRELIMINARY ENGINEERING CONTRACTS, THAT WAS A 10% GOAL.

AND UNDER THE PMO, OR IT WAS A 9% GOAL AS WE WENT FORWARD AND GOT THEIR PROPOSALS FROM EACH ONE OF THE CONTRACTORS, PROPOSED AN 18% GOAL HIGHER THAN WHAT THE 10% WAS H N T B DID THE SAME THING.

UH, WITH 16.14 IN HDR IN LIEU OF THE 9%, HAD A VERY LARGE JUMP UP IN 19%, WHAT THEY'VE BEEN SO FAR AND ALL OF THIS IS BASED UPON WHERE THEY ARE AND WHAT HAS BEEN COMPLETED IN THE PROJECT, THE WAY THAT THESE ARE ARE LOOKED AT AND THE WAY THEY WERE EVALUATED AND TRACKED IS BASED UPON THE PAYMENTS TO EACH ONE OF THE DBE.

SO IN THIS CASE THROUGH SEPTEMBER, BASICALLY AG COM IS AT 14.69, UH, H T AT 10 35 AND HDR AT 13.83 W WE BELIEVE THAT THEY ARE IN A VERY GOOD AND VALUABLE PLACE TO BE ABLE TO GO AHEAD AND MOVE FORWARD AS WE GO THROUGH THIS SECOND TASK TO ACHIEVE EACH ONE OF THESE GOALS.

NEXT FINE.

SO IN SUMMARY, UH, FOR TASK NUMBER TWO, WHAT WE ARE REQUESTING IS APPROVAL, UH, FOR THE ORANGE LINE PROJECT TO CONTINUE WITH A E-COM UNDER TASK NUMBER TWO, UH, BY MODIFYING THAT CONTRACT AND IT WAS SET UP SO THAT IT WOULD BE, UH, THAT SECOND TASK.

IT SHOULD NOT BE LOOKED AT, UH, AS AN AD OR SOMETHING THAT WAS DIFFERENT BECAUSE OF A MODIFICATION.

THEY WERE SET UP THAT WAY, UH, WITH THE TASK ONE AND A TASK TWO.

SO THE VALUE TO THE ORANGE LINE FOR THAT TASK, NUMBER TWO, UH, WAS TO GO AHEAD AND, UH, NEGOTIATE A VALUE OF 21,267,000 $145.

WHEN YOU DO THE COMPARABLE SPOKE FOR WHAT'S THERE ON THE BLUE LINE FOR HMTB, THAT MODIFICATION IS ABOUT VALUE OF 18,540,009 65.

THOSE HAVE ALL BEEN NEGOTIATED AS FROM FIXED PRICE, THE LEGAL ONE FOR BASICALLY FOR INFORMATION, WHEN WE CAME FORWARD IN DECEMBER OF 2018, UH, FOR APPROVAL AND THE AWARD OF THE HDR CONTRACT FOR PMO R UH, WE BASICALLY HAD OPTIONS THAT WERE APPROVED BY THE BOARD AT THAT TIME TO THE OPTION PERIOD THAT WE'RE GOING TO BE IN RIGHT NOW, UH, IS A VALUE OF 13 MILLION, $819,000.

NEXT SLIDE, A LITTLE BIT ABOUT THE NEXT STEPS FOR

[00:50:01]

THE ATP, UH, COMING UP ON THE 18TH OF THIS MONTH, UH, THERE WILL BE THE 10TH JOINT MEETING BETWEEN, UH, CAP METRO AND, UH, THE CITY, UH, COUNCIL.

UH, THE DISCUSSION ITEMS WILL BE A, AN UPDATE ON PROJECT CONNECT, UPCOMING COMMUNITY ENGAGEMENT, UH, EQUITY ASSESSMENT TOOL, UH, THE ARTICLES OF INCORPORATION AND BYLAWS AND BOARD SELECTION.

THEN BEYOND THAT, WE'LL BE THE FIRST BOARD MEETING OF THE ATP, AND THAT IS SCHEDULED FOR THE 20TH OF JUNE 20TH OF JANUARY OF NEXT YEAR, NEXT TIME.

SO AS WE GO AHEAD AND MOVE FORWARD TO PREPARE FOR THAT START OF THE ATP, WE'VE GONE OUT AND STARTED TO LOOK AND RECRUIT, UH, FOR CAP METRO AND ATP POSITIONS, THE KEY POSITIONS THAT WILL BE PART OF THE PROGRAM OFFICE, UH, LOOKING FOR CANDIDATES RIGHT NOW, UH, THAT THEN AFTER THE ATP IS FORMED, WOULD HAVE THE ABILITY TO GO AHEAD AND HIRE THOSE INDIVIDUALS.

UH, WE'VE RETAINED A RECRUITER, UH, AND EARLIER THERE WAS AN ACTION ITEM TO GO AHEAD AND INCREASE THE VALUE OF THE RECRUITERS CONTRACT.

UH, AND AS WE GO AHEAD AND GO FORWARD WITH THE ATP, THE CONTRACTS THAT COME OUT, THOSE ADDITIONAL CONTRACTS FOR PROFESSIONAL SERVICES FOR THE CONSTRUCTION FOR REAL ESTATE, ALL OF THOSE WILL BE DEVELOPED AND ADVERTISED AND AWARDED, UH, UNDER THE ATP.

NEXT SLIDE, PLEASE.

THAT CONCLUDES MY PRESENTATION.

AND MR. CHAIRMAN, THANKS, DAVE.

I THINK TO MEMBER KITCHEN HAS SOME QUESTIONS.

UM, YES.

OKAY.

SO, UM, THESE MAY BE FOR JACKIE.

UM, MY, MY QUESTION WAS WELL, FIRST OFF, UH, FOR THESE SLIDES.

THANK YOU FOR THESE SLIDES.

UM, I'M SORRY, I DIDN'T, ARE THEY IN BACKUP? UM, PERHAPS I JUST MISSED THEM.

I KNOW THEY WERE FINISHED LAST NIGHT AND I DON'T KNOW, ED, DID YOU SEND THEM OUT OR WE CAN GET THEM.

OKAY.

OKAY.

GREAT.

THANKS ED.

SO, UM, OKAY.

I THINK THIS MIGHT BE A QUESTION FOR JACKIE.

IT HAD TO DO THE SLIDE TWO, WHICH SHE TALKED ABOUT.

SO, UM, SO JACKIE, THERE WAS A SLIDE, UM, WE'RE, WE'RE STARTING, UH, WE'RE HAVING THOSE, UM, COMMUNITY MEETINGS IN JANUARY AND INSTEAD THEY WERE CALLED SCOPING MEETINGS.

AND I WAS JUST WONDERING IF THAT HAD A PARTICULAR MEETING MEANING, OR IF IT WAS A PARTICULAR STAGE IN THE PROCESS.

COULD YOU, COULD YOU TALK TO ME ABOUT THAT? SURE.

YEAH.

TH THAT IS A NEPA OR NATIONAL ENVIRONMENTAL PROTECTION ACT TERMINOLOGY.

SO IT IS THE FIRST STAGE OF OUTREACH TO THE COMMUNITY FOR THAT NEPA PROCESS.

OKAY.

AND, UM, HOW LONG DOES THAT FIRST STAGE LAST DAVE, YOU CAN HELP ME WITH THIS ONE BECAUSE YEAH, THE INITIAL OPENING FOR THAT IS APPROXIMATELY 60 DAYS.

THEN WE TAKE THE COMMENTS, CORRELATE THE COMMENTS, UH, AND COME BACK OUT AGAIN.

OKAY.

SO IT'S NOT JUST A JANUARY ACTIVITY.

THEY WILL.

OKAY.

IT'LL CONTINUE AT LEAST THROUGH FEBRUARY AND INTO MARCH.

YES.

AND THERE WILL BE A VIRTUAL OPEN HOUSE AS WELL.

UM, BOARD MEMBER KITCHEN THAT WILL CONTINUE FOR, UM, 30 DAYS AFTER THE VIRTUAL MEETINGS.

OKAY.

OKAY.

UM, YEAH, I JUST DON'T AND I'M SURE Y'ALL WILL BE POSTING THAT TO SPECIFIC TIMELINES.

WE'RE NOT IN THE, UH, YOU KNOW, NOT IN THE, THAT'S WHY I'M ASKING, BUT I'M SURE YOU'LL BE POSTING THOSE SPECIFIC TIMELINES, SO, OKAY.

SO I JUST WANTED TO MAKE SURE THAT WE WEREN'T JUST TALKING ABOUT JANUARY, BUT IT SOUNDS LIKE WE'RE GOING INTO MARCH ON THAT.

SO THAT'S GOOD.

UM, AND THEN THE, UM, LET'S SEE THE, UH, THE CONTRACTS THAT WE'RE APPROVING.

UM, AND WE TALKED ABOUT THIS A BIT ALREADY, BUT THE CONTRACTS THAT WE'RE APPROVING, THEY HAVE, UH, I'M, I'M SORRY.

I'M NOT REMEMBERING EXACTLY HOW THOSE CONTRACTS, HOW THOSE, UM, COMPANIES PERFORM WITH REGARD TO THE COMMUNITY ENGAGEMENT.

SO I'M JUST TRYING, I THINK IT WOULD BE, UH, IMPORTANT TO, TO JUST EXPLAIN DISSOLVE THE COMMUNITY ENGAGEMENT OCCUR WITH THE, UM, YOU KNOW, WITH THE FOLKS THAT WE HAVE HERE AT CAP METRO, OR IS THERE A ROLE FOR THESE CONTRACTS, THESE, UM, COMPANIES THAT WE'RE CONTRACTING WITH, UH, WITH REGARD TO THE COMMUNITY ENGAGEMENT.

SO IF Y'ALL COULD JUST SPEAK TO THAT.

YEAH.

THE, EACH ONE OF THE CONTRACTS CONTAINS, UH, THE REQUIREMENT, UH, IN ACCORDANCE WITH WHAT THE NEPA PROCESS IS TO GO AHEAD AND DEVELOP THE COMMUNITY ENGAGEMENT PROGRAM.

UH, SO THERE WILL BE

[00:55:01]

BASICALLY TWO OF THEM, ONE FOR THE BLUE LINE, ONE FOR THE ORANGE, WITH SOME SLIGHT DIFFERENCES, UH, DEPENDING UPON WHAT THE INDIVIDUAL FEATURES ARE ON EACH LINE.

UH, THE COORDINATION OF THOSE COMES UNDER THE PMR AND JACKIE'S GROUP WILL BE VERY, VERY CLOSELY INVOLVED AS WE GET THROUGH THAT PROCESS.

OKAY.

UH, THE REASON I'M ASKING IS I WANTED TO MAKE SURE THAT THE SCOPE OF WHAT WE'RE DOING FROM A COMMUNITY ENGAGEMENT STANDPOINT IS SOMETHING THAT, UM, JACKIE'S TEAM IS, UM, OVERSEEING, I GUESS, MIGHT BE THE RIGHT WORD.

UM, IS THAT, IS THAT RIGHT, JACKIE? YES.

OKAY.

UM, AND THEN I WOULD LIKE TO SEE AT SOME POINT, UM, A SPECIFIC PLAN FOR THAT COMMUNITY ENGAGEMENT, UM, SO THAT WE CAN JUST UNDERSTAND WHAT'S COMING.

SO, UH, SO JACKIE, PERHAPS YOU COULD PRESENT THAT TO US, UM, MAYBE AT OUR NEXT MEETING.

UM, SO THIS WAS VERY HELPFUL.

I APPRECIATE THE DETAIL THAT YOU ALL PROVIDED TODAY.

I THINK IT WOULD JUST BE HELPFUL TO GET, YOU KNOW, GET THE REAL SPECIFICS, YOU KNOW, IN TERMS OF THE COMMUNITY ENGAGEMENT, THE TIMELINE AND THE DEADLINES AND THE, UH, UH, SPECIFIC APPROACHES AND WHAT YOU WILL BE DOING VERSUS WHAT THE, UM, THE, UH, THE, UH, CONTRACTORS WHO WILL BE DOING.

IS IT, IS THAT DOABLE? YEAH, ABSOLUTELY.

OKAY.

AND THAT'S SOMETHING MAYBE YOU CAN, TO US IN OUR JANUARY BOARD MEETING, WOULD THAT WORK? SURE.

IT WOULD WORK FOR ME.

I WOULD, YEAH, OUR PRESIDENT, I WOULD, I WOULD SAY, LET STAFF TAKE A LOOK AT, ON THE TIMELINE, BUT OBVIOUSLY THIS IS ALL WORK THAT WE'RE WORKING THROUGH AND WE'LL, WE'LL GET BACK TO THE BOARD MEMBER.

UH, SECONDARILY I WOULD ADD IN THAT, UH, WE'LL BE ADDING MORE STAFF ON THE COMMUNITY ENGAGEMENT SIDE.

SO PART OF THE PLAN WOULD BE ATP HIRING, ACTUAL SPECIFIC COMMUNITY ENGAGEMENT OR COMMUNITY INVOLVEMENT STAFF.

UH, PROBABLY SOMEONE DEDICATED TO THE ORANGE LINE, BLUE LINE, GREEN LINE, RAPID LINES, ET CETERA.

SO WE, NOT ONLY IF THE RAMP UP CONSULTING TEAM, WE HAVE TO RAMP UP INTERNAL, UH, CAP, METRO AND ATP STAFF TO MANAGE ALL OF THIS PROCESS AND HAVE THAT DIRECT RELATIONSHIP AS WELL.

THAT'S GREAT.

I JUST THINK THAT AT THE JANUARY BOARD MEETING, WE NEED TO COVER AS MUCH AS YOU ALL CAN AT THAT POINT, UH, BECAUSE THIS IS SOMETHING THAT'S VERY IMPORTANT TO THE COMMUNITY.

AND THEN JUST IN THE INTEREST OF, YOU KNOW, EVERY EVERYBODY'S DONE A GREAT JOB WITH COMMUNITY ENGAGEMENT AND A REALLY GOOD JOB OF TRANSPARENCY.

SO JUST WANTING TO, YOU KNOW, CONTINUE THAT.

SO THIS WAS REALLY GOOD INFORMATION FOR TODAY.

I'D LIKE SOME MORE DETAIL THAN OUR JANUARY MEETING.

THANK YOU.

JUST TO PIGGY BACK UP AND JUST TO PIGGYBACK ON THAT, IF I COULD.

UM, I THINK THAT, UH, JACKIE'S TEAM HAS DONE AN EXCELLENT JOB OF, OF, UM, REACHING OUT AND, UH, WORKING IN NON-CONVENTIONAL, UM, ARE REACHING OUT TO THE COMMUNITY AND NON-CONVENTIONAL MANNERS.

I WOULD LOVE TO SEE, UM, IN MINORITY OUTREACH PROGRAM AS A PART OF THAT OUTREACH PROGRAM THAT ADDRESSES THE NEED TO SPEAK TO THE PRINZ, UH, K, Z I THE VILLAGE.

UH, JUST SO, JUST SO WE ARE, WE'RE NOT ONLY TALKING ABOUT MEDIA OUTLETS, BUT WE'RE LOOKING AT TYPES OF ORGANIZATIONS, WHETHER THOSE ORGANIZATIONS ARE NEIGHBORHOOD ASSOCIATIONS IN COMMUNITIES OR OUR PTA'S AND COMMUNITIES, UH, JUST TO, TO, UH, TO ADDRESS, UM, HOW WE ARE REACHING OUT TO THE MAJORITY OF COMMUNITY AND THE SUBTLE DIFFERENCES THAT WE'RE USING TO MAKE SURE THAT WE REACH OUT TO THE MINORITY COMMUNITIES AS WELL.

ABSOLUTELY.

THANK YOU FOR THAT PRESIDENT CLARK AND, UH, DAVID OR JACKIE, PERHAPS, I DON'T KNOW THAT I'VE EVER BEEN THROUGH NEPA BEFORE.

SO WHEN WE TALK ABOUT COMMUNITY OUTPUT IN THE CONTEXT OF NEPA COMMUNITY INPUT, COMMUNITY OUTPUT, THE CONTEXT OF NEPA, UH, WHAT ARE THE INPUTS THAT THE NEPA PROCESS NOW THAT WE'RE POST LPA, YOU KNOW, LOCAL PREFERRED OPTION ALTERNATIVE RATHER, UH, AND POST-ELECTION, UH, DURING THE NEPA PROCESS, WHAT ARE WE LOOKING AT IN TERMS OF COMMUNITY INTERACTION? THERE ARE SPECIFIC REQUIREMENTS NOW THAT WE'RE INTO THE NEPA PROCESS.

UH, AND THE FIRST WITH IT IS TO GO AHEAD AND GET THROUGH THE SCOPING.

UH, WE THEN TAKE COMMENTS ON THAT AND DEVELOP, UH, OVER THE MONTHS, WHAT THEY CALL A DRAFT ENVIRONMENTAL IMPACT STATEMENT, UH, AND THAT HAS INPUT FROM THE COMMUNITY AS WELL AS OUR PARTNER AGENCIES, THAT DRAFT ENVIRONMENTAL IMPACT STATEMENT THEN GOES THROUGH A REVIEW CYCLE, UH, TO BE ABLE TO GET TO A POINT THAT IT GOES BACK TO THE FEDERAL TRANSIT ADMINISTRATION TO TURN INTO A FINAL ENVIRONMENTAL IMPACT STATEMENT, UH, THAT ALSO HAS WITH IT A RECORD OF DECISION.

SO THE RECORD OF DECISION IS THAT FINAL PORTION OF IT THAT THEN LETS US GO FORWARD, UH, BEYOND THE INITIAL DEVELOPMENT PHASE

[01:00:01]

AND INTO THE ENGINEERING PHASE.

SO THERE ARE A WHOLE SERIES OF ITEMS THAT WE WORK OUR WAY IN THE PRESENTATION AND IN THE EVALUATION FACTORS, BUT THAT'S THE BASIC STRUCTURE OF WHAT WE GO THROUGH.

AND SPECIFICALLY WITHIN THE EIS, WHAT, WHAT'S THE PUBLIC INPUT THAT WE'RE LOOKING, WHAT, WHAT WE'RE DOING IS SIMILAR.

IT'S A SIMILAR SCOPE PROCESS THAT WE WENT THROUGH, UH, IN THE FIRST ROUND, UH, WHICH WAS REALLY A PRE SCOPING PHASE WHERE WE GO THROUGH PURPOSE AND NEED.

WE GO THROUGH ALIGNMENTS, WE'RE GETTING INTO A LOT MORE DETAIL THAN WHAT WE DID THE PAST TIME.

UH, SO NOW THAT WE KNOW THAT IT'S GOING TO BE LIGHT RAIL, NOW THAT WE KNOW THAT WE'RE GOING TO HAVE A DOWNTOWN TUNNEL, WE CAN NOW GO DEEPER INTO IT TO EXPLAIN ALL OF THE DIFFERENT EFFECTS.

WE LOOK AT A GREATER LEVEL OF DETAIL AT ANYTHING THAT IS ARCHEOLOGICAL OR ANYTHING THAT IS THERE THAT MAY BE HISTORIC DIMENSION, A COUPLE OF THINGS, UH, AND EACH ONE OF THOSE ARE EXAMINED AT A HIGHER LEVEL OF DETAIL.

UH, AND THEN THAT'S WHAT COMES BACK AS PART OF THE PRESENTATIONS SO THAT THERE ARE COMMENTS AND WE CAN GO AHEAD AND SHOW WHAT IT IS THAT WE, UH, WERE ABLE TO DEVELOP AND WHAT WE FOUND IN THAT PROCESS.

SO WE'LL BE TAKING THAT DEEPER LEVEL OF INFORMATION TO THE COMMUNITY AND GETTING THEIR FEEDBACK ON WHAT WE DID BEFORE, BUT MORE GRANULARITY.

YES, I WOULD ADD A CHAIR, A GOOD WAY TO LOOK AT IT IS, UH, TWO YEARS OF A LOT OF COMMUNITY ENGAGEMENT FOR THE NEPA RECORDS DECISION.

THEN WE'LL TRANSITION, YOU KNOW, IN TWO YEARS, TIME TO COMMUNITY ENGAGEMENT, UH, TAKE OFF FROM 30% TO A HUNDRED PERCENT DESIGN, DEPENDING ON THE CONTRACTING METHODOLOGY.

AFTER THAT PHASE, IT'S GOTTA BE CONSTRUCTION, COORDINATION, COMMUNITY ENGAGEMENT.

AND AFTER THAT, IT'LL BE REVENUE, SERVICE AND OPERATIONS.

SO, UM, WE ARE A PUBLIC AGENCY, SO THE COMMUNITY PIECE WILL NEVER ACTUALLY END.

WE'LL JUST CONTINUE TO MOVING THROUGH A PHASES, UH, THAT ARE CONSISTENT WITH THE FEDERAL PROCESS AND THEY'RE CONSISTENT WITH OPERATIONS.

WELL, I APPRECIATE THAT.

AND THAT SORT OF GOES TO THE HEART OF MY QUESTION, WHICH IS DEEP, HAS GOT ITS OWN SORT OF, UH, UH, UH, OUTCOMES.

AND I WAS TRYING TO GET UP ON A LEARNING CURVE A LITTLE UP ON THE LEARNING CURVE A LITTLE BIT AS TO WHAT EXACTLY WE NEED TO BE DOING RELATIVE TO THE COMMUNITY IN CONNECTION WITH THE NEPA PROCESS IN PARTICULAR, EVERY KITCHEN.

UH, JUST TO FOLLOW UP QUESTION TO YOU.

UM, SO THE, THE TERM SCOPING IS A TERM, AS YOU MENTIONED FROM THE NEPA PROCESS.

CAN YOU JUST EXPLAIN WHAT THAT MEANS FOR THE PUBLIC, BECAUSE THEY MAY NOT UNDERSTAND WHAT DOES THAT MEAN? SCOPING? IT BASICALLY LOOKS AT THE ASPECTS OF WHAT THE PROJECT CAN BE AND SHOULD BE.

UH, IT LOOKS AT THE LOCATION.

UH, IT LOOKS AT WHAT THE PURPOSE IS.

IT LOOKS AT THE NEED TO BE ABLE TO GO AHEAD AND MOVE FORWARD WITH THE PROJECT.

IT FURTHER DEFINES EACH ONE OF THE AREAS OF THE PROJECT.

NOW THAT WE'RE AT THE POINT THAT WE KNOW THAT THERE'S GOING TO BE LIGHT RAIL IN A TUNNEL.

UH, IT GOES INTO ALL OF THOSE DIFFERENT ITEMS AT A DIFFERENT LEVEL OF DETAIL, MORE GRANULAR THAN WHAT WE WENT THROUGH, UH, WHAT WE WERE GOING THROUGH THE INITIAL PROCESS TO GET TO THE LPS.

IS THIS THE STAGE OF GRANULARITY WHERE YOU MIGHT BE TALKING ABOUT SPECIFIC, UM, STREETS AND, OR SPECIFIC STOPS AND OR SPECIFIC, UM, UH, MAJOR HUBS OR IS, IS THAT A LATER STAGE? WE START THROUGH THIS IN THIS STAGE.

AND BY THE TIME WE GET TO THE 30% DESIGN, WE HAVE ALL OF THAT.

UH, BUT IT WINDS UP, IT'S AN ITERATIVE PROCESS AS WE GO FORWARD, UH, LOOKING AT WHERE THINGS CAN BE, WHERE THEY SHOULD BE.

AND THEN AS WE GO FORWARD AND GET FURTHER INTO IT, SOME OF THE THINGS THAT WE MAY HAVE FOUND OUT IN THE FIRST SIX MONTHS OF THE PROCESS, WE MAY KNOW MORE ABOUT IT, 18 MONTHS IN, EH, MAY HAVE TO GO AHEAD AND TAKE A LOOK AT IT.

AND THAT'S HOW YOU GET THROUGH THE PROCESS.

IT'S VERY, VERY INTUITIVE.

IT'S VERY COMMUNITY INVOLVED.

UH, IT INVOLVES ALL OF THE AGENCIES AS PARTNER AGENCIES, UH, SO THAT WE'RE GETTING THAT INPUT ALL THE WAY AROUND AND KNOWING WHAT THE COMPONENTS ARE AND WHAT THE CONCERNS AND REQUIREMENTS OF ANY OF THE OTHER AGENCIES ARE.

OKAY.

THANK YOU.

OTHERS MEMBERS STRATTON.

UH, UH, THANK YOU, MR. CHAIRMAN.

UM, YEAH, DAVID, JUST A QUESTION SPECIFIC TO THE CONTRACTS THEN I WANTED TO LOOK BACK ON, UM, I BELIEVE IT WAS SLIDE, UM, WAS THAT, UM, WELL, I CAN'T TELL THE NUMBER.

IT WAS THE SLIDE RELATED TO THE, UH, THE DBE GOALS AND ACHIEVEMENTS, SO THAT THE NUMBERS THAT WERE LISTED THERE FOR THE, THE CONTRACTOR PROPOSED GOAL

[01:05:01]

WAS THAT FOR THE, THAT PHASE ONE PROPOSED GOAL, IT'S FOR THE ENTIRE TEAM, FOR THE ENTIRETY, WHICH WAS BOTH PHASE ONE AND PHASE TWO.

YES.

SO AT THIS STAGE OF THE GAME, AS OF THE END OF SEPTEMBER, 2020, A E-COM AND WAS ALREADY AT 14.69 OF THE 18 AND 10 POINT, AND THEN H AND TB AT 10 POINT 35 OF THEIR PROPOSED 16 POINT 14 AND HDR, 13.83 OF THEIR PROPOSED 19%.

AND TO BE MY, YEAH, I'M SORRY.

OKAY.

AND TO BE MINDFUL OF THAT WAS JUST SAYING THAT'S THAT'S BEFORE THE END OF THAT, THAT'S AS WE'RE, AS WE'RE BRINGING, AS WE'RE COMING UP TO THE END OF PHASE OF PHASE ONE, THAT'S NOT COUNTING US OUR ACTION TODAY TO POTENTIALLY EXPAND US INTO NOW PHASE TWO.

AND, AND WHAT'S ALSO THERE, UH, MR. STRATTON IS THAT THOSE ARE IT'S TRACKED AGAINST WHAT THE EXPENDITURES ARE AND THE PAYMENTS TO EACH ONE OF THOSE DBES AND THE NUMBERS THAT ARE ON THAT RIGHT NOW ARE REFLECTIVE OF WHERE WE WERE AT THE END OF SEPTEMBER.

UH, THERE ARE SPECIAL REPORTS AND PROCESSES THAT GO ON TO VERIFY THOSE NUMBERS, UH, AND IT TAKES 30 TO 60 DAYS TO DO THAT.

UH, SO THEREFORE THAT'S WHY I'VE ONLY GOT NUMBERS THROUGH THE END OF SEPTEMBER.

OKAY.

NOW THE, THE, THOSE THAT'S GREAT THEN KNOWING THAT THEY'RE AT THAT POINT, UH, ALL THEY WERE AT THAT POINT ALREADY, AND THESE GOALS WERE TO BE FOR THE ENTIRE, BOTH PHASES OF THE, OF THE PROCESS.

OKAY.

IT IS OUT, BUT NOW IF IT'S 18%, IT'S 18% OF A NEW TOBA WITH THE ACTION WITH THE ACTION YOU WILL TAKE TODAY FOR AG COM AND FOR HMTB, THAT PERCENTAGE IS NOW APPLICABLE TO WHAT THE TOTAL OF THE CONTRACT IS.

THAT'S WHAT THEIR EARNINGS WERE AGAINST THE FIRST PART.

NOW WE GO TO THE SECOND TASK AND AS THE DOLLAR AMOUNT FOR THE CONTRACT INCREASES, IT'S THE SAME PERCENTAGE, BUT THE DOLLAR VALUE THAT IS THERE FOR THE DBES WILL INCREASE.

SO I GUESS THE WAY TO LOOK AT THAT THEN IS THAT THERE, IF WE'RE TO AWARD THE CONTRACT OF TOUR AWARD THE PHASE TWO TODAY, THEN TECHNICALLY SPEAKING, THAT, THAT, THAT, UH, ACHIEVED GOAL WOULD, WOULD I GUESS DROP BECAUSE WE'RE NOW GIVING THEM, YOU KNOW, A LARGER, A LARGER POOL NOW TO, OR LARGER CONTRACT NUMBER.

WELL, IT IS STILL GOING TO STAY THE SAME BECAUSE IT IS BASED UPON WHAT THE VALUE IS THAT'S PAID.

OH, OKAY.

BECAUSE IT'S BASED ON, WHAT'S PAID OUT, THE CONTRACT AWARD IS NOT THE SAME AS WHAT'S ACTUALLY PAID OUT AND THE VALUE ON THE CONTRACT.

OKAY.

YEAH, I GOTCHA.

SO, BUT THE POINT IS, IS FROM Y'ALL FROM CAP METRO'S PERSPECTIVE THAT ALL OF OUR CONTRACTORS HAVE THEY PROPOSED EXCEEDING THE GOAL AND THEY HAVE ACHIEVED BEYOND WHAT CAT METRO'S ADVERTISED GOAL WAS ALREADY.

AND THEY'RE ON TRACK TO EVEN STILL MEET WHAT THEIR PROPOSED GOALS WERE FOR DBE AT THIS POINT.

THAT'S CORRECT.

OKAY.

ALL RIGHT.

JUST, JUST TO, JUST TO MAKE SURE, THEN I'M TAKING ANOTHER STEP BACK, THE BIGGER PICTURE HERE, UH, MAKING SURE THAT I'VE, I'VE GOT MY HEAD WRAPPED AROUND THIS, THE WAY THAT WE STRUCTURED THIS.

UM, CAUSE I REMEMBER THAT WE DID AWARD, UM, THE PHASE ONE AND PHASE OR THE PHASE ONE FOR BLUE LINE AND ORANGE LINE WAS, YOU KNOW, BACK THERE IN JANUARY OF 19.

THAT WAS REALLY TO GET US TO THE POINT WHERE WE COULD REALLY GIVE THE PUBLIC SOMETHING TO TAKE A VOTE ON FOR PROFIT TO MAKE THE DECISION, HEY, DO WE WANT TO DO THIS OR NOT? RIGHT? YES.

OKAY.

YEAH.

WE, WE INTENTIONALLY, WE, WHEN WE GOT THEIR PROPOSALS, WE REVIEWED THEIR QUALIFICATIONS TO BE ABLE TO TAKE US ALL THE WAY FROM THE BEGINNING OUT THROUGH THE END OF THE ENVIRONMENTAL PROCESS AND RECORD OF DECISION AND PRELIMINARY ENGINEERING.

BUT BECAUSE WE DID NOT KNOW AT THE VERY BEGINNING, WHETHER WE WERE GOING TO HAVE BUS RAPID TRANSIT OR LIGHT RAIL OR WHERE THE SYSTEM WAS GOING TO GO, UH, WE MADE THE DETERMINATION THAT WE WOULD DO IT AS A TASK NUMBER ONE, UH, WHICH WOULD GET US THROUGH THE RECORD OF DECISION, UH, AND THE APPROVAL OF THE SYSTEM PLAN.

AND AT THAT POINT IN TIME, WE WERE ABLE TO NARROW THE SCOPE SO THAT WE NOW KNOW WHAT WE'RE PURSUING IN TERMS OF LIKE RAIL, UH, AS OPPOSED TO BUS AND EXACTLY WE KNOW WHAT HE WOULD'VE HAD ANYTHING AT THE VERY BEGINNING THAT WOULD HAVE INCLUDED A TUNNEL FOR THE TYPE OF WORK THAT WAS GOING TO BE DONE.

SO IT GAVE US THE OPPORTUNITY BASED UPON THE LPAS TO DEVELOP A MORE ACCURATE SCOPE AND TO GET THAT PRICED, WHICH WOULD NOT HAVE BEEN POSSIBLE IF WE TRIED TO DO IT AT THE VERY BEGINNING.

OKAY.

AND THEN, UM, FINAL RELATED QUESTION.

CAN WE TALK ABOUT THE TUNNEL? UM, BLUE AND ORANGE LINE ARE BOTH GOING TO BE UTILIZING THE TUNNEL.

UM,

[01:10:01]

HOW WILL THAT BE, I GUESS, FOR LACK OF A BETTER TERM, WELL, HOW WILL THE TUNNEL APPLY TO THESE PARTICULAR CONTRACTS? WHO'S GOING TO WHO'S ON FIRST, I GUESS, FOR TAKING THE LEAD FOR, UH, THE ENVIRONMENTAL STUDIES FOR LOOKING INTO THIS, FOR THIS PART OF IT, GOING INTO THIS PHASE, TWO OF THE PROJECT CHECK FOR THAT EIGHT, EACH ONE HAS BEEN TO HAVE THE PORTION OF THE TUNNEL THAT IS INCLUDED IN THEIR CONTRACT AND THEIR SCOPE.

THE BLUE LINE, UH, WILL BASICALLY HAVE THE TUNNEL FROM THE NORTH SIDE OF THE LAKE, UH, UP THROUGH REPUBLIC SQUARE, UH, AND, AND THE ORANGE LINE WE'LL HAVE IT UP AND DOWN GUADALUPE AND UNDER THE LAKE.

UM, SO THAT'S THE WAY WE'LL FINISH THE ENVIRONMENTAL PROCESS.

OKAY.

AND DO, DO WE HAVE ANY CONCERNS WHATSOEVER ABOUT THE TWO DIFFERENT FARMS? I MEAN, THAT, THAT, THAT IS THAT'S GOING TO BE A JUNCTURE IN ONE PROCESS, ONE PRO ONE, IT'S GOING TO BE ONE TUNNEL, BUT WE'RE TALKING ABOUT HAVING TWO DIFFERENT CONTRACTORS ARE GOING TO BE WORKING ON IT TOGETHER, I GUESS NO CONCERNS WHATSOEVER ABOUT THAT FROM, FROM STAFF PERSPECTIVE, THAT YOU'VE GOT TWO PIECES OF THE TUNNEL THAT ARE BEING HANDLED BY TWO DIFFERENT CONTRACTORS.

IN THAT REGARD, WE'RE WORKING OUR THROUGH THAT.

WE HAVE SET ELEVATIONS, UH, AND BOTH OF THE CONTRACTORS ARE WORKING TO THOSE, THOSE ELEVATIONS.

UH, AND WE HAVE A VERY DETAILED COORDINATION PROCESS, UH, THAT GOES ON BETWEEN THOSE TWO FIRMS AND THE PMO ARE, UH, WHO HAS GOT SOMEONE FROM THE PMR WHO HAS TUNNEL EXPERIENCE.

UH, SO THOSE ARE THE THINGS THAT WE'RE DOING, UH, AND, AND WE'RE REFINING EACH ONE OF THOSE AS WE GO.

OKAY.

AND SO THE, THE, THE MONEY AND PHASE TWO INCLUDES THAT PARTICULAR PROJECT AS WELL, BOTH FOR THE ORANGE LINE SIDE OF THE TUNNEL.

AND FOR THE BLUE LINE SIDE OF THE TUNNEL IS BUILT INTO THIS GOING FORWARD FOR THIS PHASE TWO ON BOTH.

YES, SIR.

YES.

OKAY, GREAT.

THANK YOU AGAIN.

I APPRECIATE THE INFORMATION.

I THINK THAT THIS IS, THIS IS GREAT DETAILED INFORMATION, APPRECIATE ALL THE WORK THAT YOU AND THE REST OF YOUR STAFF HAS PUT INTO THIS TO GET US TO THIS POINT.

YOU'RE WELCOME.

ADDITIONAL CROSS EXAMINATION, UH, DAVE OR JACKIE, NONE VERY WELL.

THE CHAIR WILL ENTERTAIN A MOTION WITH RESPECT TO ACTION ITEM.

NUMBER ONE, THE BLUE LINE POSTED MOTION IS RESOLVED THAT THE BOARD OF DIRECTORS AUTHORIZES THE PRESIDENT AND CEO OR HIS DESIGNEE TO EXECUTE A CONTRACT MODIFICATION WITH H AND TB IN THE AMOUNT OF $18,540,965 FOR TWO ONE-YEAR OPTION PERIODS FOR PHASE TWO OF THE BLUE LINE TO COMPLETE THE ENVIRONMENTAL AND PRELIMINARY ENGINEERING PHASE OF THE PROGRAM IN ACCORDANCE WITH THE NEPA REQUIREMENT, THE NEPA PROCESS AND FDA REQUIREMENTS.

DO I HAVE A MOTION, A MOTION BY VICE CHAIR? GARCIA IS THERE SECOND, UH, SECOND BY MEMBER KITCHEN, UH, DISCUSSION.

I'LL JUST, UH, SAY THAT I THINK, UH, ALL THREE OF THESE ENGINEERING FIRMS HAVE DONE A GOOD JOB OF GETTING US TO THIS POINT.

UM, IN OUR PROCESS, I THINK THEY DELIVERED TO US, UH, AND HELPED GUIDE US THROUGH A PROCESS, UH, WHERE THE PUBLIC RESOUNDINGLY APPROVED THE PROJECTS, UM, THAT WE PUT IN FRONT OF THEM.

AND SO, UM, I'M EXCITED TO SEE THE ADDITIONAL WORK THAT THESE FIRMS CAN DO FOR US TO TAKE US FORWARD.

AND I THINK THEY DID A GOOD JOB FOR US.

UM, THE OTHER THING I'LL JUST MENTION IS THAT, UH, TOOK OUR GENERAL COUNSEL TO REMIND ME BECAUSE I'VE BEEN, UH, CONCERNED ABOUT US USURPING THE ROLE OF ATP, BUT, UH, WAS REMINDED BY OUR GENERAL COUNSEL THAT IN THE ILA BETWEEN US AND THE CITY, WE'VE AGREED THAT WE WOULD FOLLOW ON AND CONDUCT THE NEPA PROCESS.

AND THAT'LL BE PART OF OUR CONTRIBUTION TO, UH, TO ATP IN CONJUNCTION WITH THE ILA.

SO I HAD A QUESTION AS TO WHY WE WERE ENTERING INTO THE CONTRACTS AS OPPOSED TO ATP, UH, BUT THAT WAS WORKED THROUGH IN CONJUNCTION WITH THE ALLEY PROCESS.

SO, UM, I FEEL GOOD ABOUT THAT.

AND I'M COMFORTABLE GOING FORWARD WITH THIS MOTION.

OTHER QUESTIONS OR COMMENTS HEARING NONE THEN I'LL, UH, GO AHEAD.

I'M SORRY.

YEAH.

UH, YOU KNOW, THIS, UH, THE BLUE LINE, IT'S BEEN A LONG TIME WAITING, YOU KNOW, IT'S, IT'S, UH, UH, WE WENT THROUGH ONE ELECTION

[01:15:01]

BEFORE WE WON THIS ONE HERE.

AND, UH, AND NOW THAT I'M REALLY EXCITED THAT WE COULD START THIS WORK SO THAT I CAN GET THAT RIVERSIDE FIXED UP.

OH, WE DELAYED IT FOR A YEAR ALREADY, ALMOST TWO GOING ON TOO.

SO, UH, UH, I JUST CAN'T WAIT TO SEE HOW THE, UH, HOW IT'S GOING TO COME OUT AND LOOK, AND IT'S VERY EXCITING FOR ME TO SEE THIS HAPPENING AGAIN AND MOVING ON.

THANK YOU, COUNCIL MEMBER, OTHERS, IF THERE'S NO OTHER DISCUSSION, THEN I'LL, UH, ASK FOR YOUR VOTES.

UH, INDIVIDUALLY, UH, MAYOR HILL I THINK IS I DIDN'T SEE HIM COME IN, NOT PRESENT, UH, MEMBER RENTAL RHEA, REMEMBER STRATTON.

AYE, VICE CHAIR GARZA.

IF YOU REMEMBER KITCHEN, I REMEMBER TREVELYAN.

I REMEMBER MITCHELL COOPERS AND I AS WELL.

SO THE MOTION CARRIES A SEVEN TO ZERO WITH ONE, NOT PRESENT.

THANK YOU.

LIKEWISE, UH, CHAIR WILL ENTERTAIN A MOTION

[VI.2. Approval of a resolution authorizing the President & CEO, or his designee, to finalize and execute a contract modification with AECOM Technical Services, Inc. in the amount of $21,267,146 for Phase II of the Orange Line Engineering Design Services to complete the Environmental and Preliminary Engineering phase of the program.]

WITH RESPECT TO ACTION ITEM NUMBER TWO, UH, WHICH IS, UH, WHICH HAS BEEN POSTED AS RESOLVED THAT THE BOARD OF DIRECTORS AUTHORIZES THE PRESIDENT AND CEO OR HIS DESIGNEE TO EXECUTE A CONTRACT MODIFICATION WITH A E-COM IN THE AMOUNT OF 21 MILLION, $267,146 FOR PHASE TWO OF THE ORANGE LINE TO COMPLETE THE ENVIRONMENTAL AND PRELIMINARY ENGINEERING PHASE OF THE PROGRAM IN ACCORDANCE WITH THE NIPPLE PROCESS AND FTA REQUIREMENTS.

I HAVE A MOTION MOTION BY MEMBER MITCHELL A SECOND, SECOND BY A MEMBER OF RENTERIA.

THANK YOU.

DISCUSSION, NO DISCUSSION VERY WELL.

THEN I'LL, UH, ASK, UH, FOR YOUR VOTES INDIVIDUALLY, UH, MAYOR HILL I THINK IS NOT HERE.

REMEMBER RENTERIA, RIGHT? I REMEMBER STRATTON.

YES.

IN, REGARDLESS OF VICE-CHAIR GARZA.

YES.

I REMEMBER KITCHEN.

YES.

REMEMBER TREVELYAN I REMEMBER MITCHELL COOPER'S UP.

YES.

AS WELL.

MOTION CARRIES SEVEN TO ZERO WITH ONE, NOT VOTING.

THANK YOU.

THANKS EVERYBODY.

THAT CONCLUDES OUR ACTION ITEMS. WE HAVE, I THINK, ONE REMAINING DISCUSSION ITEM, THE END OF YOUR FINANCIAL REPORT BY OUR CFO AND THEN A PRESIDENT'S REPORT.

UM, RONETTE, IF YOU'RE

[VII. Presentations]

READY TO GO, THE FLOOR IS YOURS.

GOOD AFTERNOON.

CHAIR, COOPER, BOARD MEMBERS AND PRESIDENT AND CEO.

CLARK.

CAN YOU ALL HEAR ME? OKAY.

OKAY, GREAT.

UM, IT LET'S KEEP THE FIRST PAGE AND ONE MORE PLACE.

SO OVERALL THE AGENCY, UM, THAT PERFORM FINANCIALLY VERY WELL IN 2020, AND IT WAS A VERY CHALLENGING YEAR, BUT WE'VE COME OUT AHEAD ALL THE SAME.

SO FIRST LOOKING AT THE REVENUES, UH, THE REVENUE CHART IS SHOWING IN THE FIRST COLUMN, THE FISCAL YEAR 19 ACTUALS COMPARED TO THE FISCAL 2020 ACTUALS.

AND JUST TO PREFACE THIS, THIS IS, UM, THESE ARE PRELIMINARY NUMBERS.

WE ARE STILL UNDER AUDIT AND THERE MAY BE SOME ADJUSTMENTS THAT STILL GETS POSTED FOR FISCAL 2020, BUT, UH, THIS IS A REASONABLE, REASONABLE FINAL NUMBER FOR FISCAL 2020.

AND THEN IT'S BEING COMPARED, UM, ON THE RIGHT AGAINST THE FULL YEAR BUDGET AND THEN SHOWING THE PERCENTAGE OF BUDGET FOR EACH REVENUE LINE ITEM.

SO IN TOTAL, YOU CAN SEE THAT OUR REVENUES ENDED AT $432 MILLION, AND IT EXCEEDED OUR BUDGET BY 71 MILLION.

THIS IS MOSTLY DUE TO THE CARES ACT GRANT THAT WE RECEIVED FOR 101.9 MILLION THAT WAS FULLY DRAWN IN FISCAL 2020, AND IN PARTIALLY OFFSET BY REVENUE SHORTFALLS AND FAIRS, SALES TAXES, AND OTHER GRANTS.

SO ALL IN ALL THE

[01:20:01]

COVID IMPACT ON LOST REVENUES IN THOSE CATEGORIES WAS AN ESTIMATED 19 MILLION WHEREVER WE WOULD HAVE COME IN BELOW BUDGET BECAUSE OF THE REDUCED SALES TAXES AND FARES.

SO JUST STARTING AT THE TOP, LOOKING AT SALES TAXES, UM, YOU CAN SEE THAT THE SALES TAXES ARE ACTUALLY SLIGHTLY HIGHER IN FISCAL 20 THAN IN FISCAL 19 BY 0.3%, BUT THEN IT WAS 3 MILLION BELOW WHAT WE BUDGETED FOR THE FISCAL YEAR, LOOKING AT PASSENGER FARES.

UM, YOU CAN SEE THAT WE ARE SETTLED SIGNIFICANTLY BELOW FISCAL 19, AS WELL AS BELOW FISCAL 20, BECAUSE WE HAD THE TWO MONTHS OF FREE FARES WHEN THE PANDEMIC PANDEMIC FIRST OCCURRED IN APRIL AND MAY.

AND THEN WE ALSO HAVE REDUCED RIDERSHIP FROM, UM, JUNE THROUGH SEPTEMBER THAT IS IMPACTING FAIR REVENUES.

SO FULL FARE REVENUES.

WE ARE 7.8 MILLION BELOW BUDGET FOR FREIGHT REVENUE.

UH, WE ARE EXCEEDING BUDGETS BECAUSE THE 45 G SHORTLINE TAX CREDIT WAS REAPPROVED.

AND WE WERE ABLE TO, UH, APPLY TWO YEARS OF THAT TAX CREDIT, BOTH FOR FISCAL 20 AND FISCAL 19 WAS RECEIVED IN FISCAL 20.

SO WE ARE 1 MILLION FAVORABLE BECAUSE OF THAT TAX CREDIT.

WHEN YOU LOOK AT OTHER REVENUE, UH, THAT FAVORIBILITY IS MOSTLY DUE TO INVESTMENT IN CRA INCOME.

THAT IS 1.9 MILLION ABOVE BUDGET WITH INVESTMENTS THAT WERE MADE PRIOR TO COVID AND WAS STILL PAYING SIGNIFICANT YIELDS.

OUR OPERATING CONTRIBUTIONS ARE SIGNIFICANTLY ABOVE BUDGET BECAUSE OF THAT CARES ACT DRAW OF 101.9 MILLION.

AND IN LOOKING AT CAPITAL CONTRIBUTIONS, IT IS ABOVE FISCAL 19, BUT SLIGHTLY BELOW BUDGET.

THERE ARE TWO GRANTS THAT ARE ROLLING FORWARD DUE TO THE TIMING OF THE ELIGIBLE ACTIVITIES FOR THOSE GRANTS.

ONE OF WHICH IS THE VW MITIGATION FUND, AND THEN THE 53 39 A PASS REPLACEMENTS GRANT, NEXT PAGE, PLEASE.

SO IN THIS GRAPH, YOU'RE SEEING OUR TAX RECEIPTS, UH, WHICH IS SEASONAL.

SO IT IS STACKING IN RATE THE TAX RECEIPT FOR 2018 IN GREEN FOR 2019, AND IN BLUE FOR FISCAL 2020.

AND IN THE BOX ON THE BOTTOM OF THE SLIDE, YOU CAN SEE THAT, UM, SALES TAXES FOR THE YEAR CAME IN AT 262.4 MILLION, WHICH IS A 0.3% GROWTH AGAINST THE PREVIOUS YEAR.

AND YOU CAN SEE THAT IN 2018 AND 19, THE AGENCY EXPERIENCED SALES TAX GROWTH OF 6.5 AND 7.5% PERSPECTIVELY.

SO YOU CAN SEE THAT THE BLUE BARS WERE STILL SHOWING SIGNIFICANT GROWTH ALL THE WAY THROUGH TO FEBRUARY, AND THEN FROM THE IMPACT FROM CURVE AT, AFTER THAT WE'RE SEEING, UM, DECLINES IN SOUTH TEXAS.

SO THE RESULT FROM OCTOBER, 2019 AS REFLECTED IN THE BOOK, BLUE BARS ALSO REFLECT THE CHANGED SALES TAX LAWS THAT WERE IN ACTED INTO FOR TAXATION ON OUT OF STATE INTERNET SALES.

THIS WAS A BIG BOOST OF SALES TAX THIS YEAR, AND ESPECIALLY WITH THE PANDEMIC, WE HAD A MARKET SHIFT OF TO ONLINE SHOPPING.

AND NOW THAT THAT OUT OF STATE ONLINE SELLS ON TAXABLE, IT DEFINITELY HELPED HELPED US WEATHER THE STORM DURING THE PANDEMIC.

NEXT THING, THIS IS SHOWING A ROLLING SIX MONTH AVERAGE SALES TAX GROWTH TO JUST TRY AND EVEN OUT SOME OF THOSE SPIKES.

AND YOU CAN SEE THE IMPACT OF THE RECESSION THAT WE ARE CURRENTLY IN AND THE IMPACT IN 2008 AND NINE, THE PREVIOUS RECESSION, UH, THIS DOES CLOSELY CORRELATE ALSO THE UNEMPLOYMENT AND LABOR GROWTH THAT WE EXPERIENCED IN THE AREA AND THE LATEST UNEMPLOYMENT NUMBERS FOR THE AUSTIN ROUNDROCK AREA IS THAT, UH, WE'RE AT 5.1% UNEMPLOYMENT IN OCTOBER OF THIS YEAR.

NEXT PAGE, JUST TO TAKE A DEEPER LOOK AT OUR FAIR REVENUES.

UH, THIS FIRST PAGE IS COMPARING FARE REVENUE BY MODE, AND YOU CAN SEE THAT FAIRS ARE DOWN ACROSS THE BOARD

[01:25:01]

DUE TO LOW RIDERSHIP AND THE TWO MONTHS OF FREE FARES, BUT YOU CAN SEE IN THE MIDDLE OF THAT COMMUTER PASSES OR IMPACTED THE MOST, AS MANY OFFICE WORKERS ARE STILL WORKING REMOTE, UM, MAKING USE OF LESS USE OF COMMUTER SERVICES.

NEXT PAGE, THIS IS SHOWING A FAIR REVENUE BY CHANNEL.

AND AGAIN, WE'RE SEEING AN ACROSS THE BOARD DECREASE, AND IT'S INTERESTING TO SEE THAT THE MOBILE APP IS ALSO SHOWING A BIGGER DECLINE THAN THE FARE BOX DUE TO THE DECREASE IN COMMUTERS, WHERE MANY COMMUTERS PREFER TO USE THE MOBILE APP AS A METHOD OF PAYMENT NEXT PAGE, AND IN THE SAME LOOKING AT ADDED BY THE TYPE OF PASS, FOR EXAMPLE, SEEING SINGLE RIDES VERSUS A 31 DAY PASS, WE'RE GOING TO GAIN SEEING THE ACROSS THE BOARD REDUCTION.

UM, THE SINGLE RIDE CATEGORY IS SHOWING A BIGGER DUE TO THE FEWER MOBILE APP AND TICKET VENDING MACHINE CELLS, UH, DURING COVID NEXT PAGE, THIS IS SHOWING OUR OPERATING EXPENSES.

IT'S SHOWING FISCAL 19 ON THE LIFT COMPARED TO THE PRELIMINARY FISCAL 20 NUMBERS, AND THEN AGAINST THE FULL YEAR BUDGET.

SO IN TOTAL, OUR EXPENSES OF 275.7 MILLION IS 11 MILLION BELOW BUDGET.

AND THAT IS MOSTLY DUE TO COVID BASED CUTS AND HIRING FREEZES.

SO LOOKING AT THE TOP AT SALARIES AND BENEFITS, WE ARE FAVORABLE THERE BECAUSE OF VACANCY SAVINGS AND ALSO FAVORABLE HEALTH PLAN COSTS.

WE DO HAVE AN AVERAGE OF 33 VACANCIES THROUGHOUT THE YEAR.

UM, AS WE HAVE BEEN KEEPING MOST VACANCIES FROZEN AND HAVE BEEN RELEASING POSITIONS AS THEY ARE NEEDED IN, UM, TO PROVIDE SERVICE FOR PROFESSIONAL SERVICES, WE ARE ALSO BELOW BUDGET.

UM, IT'S MADE UP BY MANY SMALL VARIANCES ACROSS, UH, MANY OF THE DEPARTMENTS WHERE WE DID DELAY SOME OF THE SPENDING FOR ITEMS LIKE THE ORIGIN AND DESTINATION SURVEY AND, UM, VARIOUS OTHER SMALLER ITEMS. THE ONLY BIG VARIANCE THAT WE DO HAVE IN THIS CATEGORY IS IN PROJECT CONNECT, WHERE THERE WAS SOME DELAYED SPENDING WITH THE ENGINEERING FIRMS OF APPROXIMATELY A MILLION DOLLARS, AND THEN ALSO 700,000 IN REDUCED MARKETING AND COMMUNICATION EXPENSES.

LOOKING DOWN AT THE PAGE, IF YOU LOOK AT FUEL AND FLUIDS, WE ARE ALSO BELOW BUDGET THERE DUE TO FEWER GALLONS USED FROM THE REDUCED SERVICE LEVELS THAT WE HAD IN MARCH FROM MARCH THROUGH MAY.

AND THEN IF YOU LOOK ALONG AND YOU GET TO PURCHASE TRANSPORTATION, UM, MOST OF THE MODES WERE COMING IN UNDER BUDGET DUE TO THE REDUCED SERVICE HOURS DURING THE LOCKDOWN.

AND THAT WAS OFFSET BY ADDITIONAL SPENDING RELATED TO COVID FOR WAGE CONTINUATION AND OTHER PANDEMIC RELATED EXPENSES, AS WELL AS TAKING OVER THE RESPONSIBILITY FOR THE PAST CONTRACTORS WORKERS LEAVE BALANCES, UH, WITH CONTRACT TRANSITION, OTHER EXPENSES INCLUDES THE, UM, OPERATING CONTINGENCY.

SO WHEN WE PUSHED THROUGH THE COVID CUTS BACK IN MARCH, WE PUSHED THOSE CUT BUDGETS DOWN TO THE CONTINGENCY ACCOUNT, AND WE ENDED THE YEAR WITH 4.2 MILLION LEFT IN THE CONTINGENCY.

SO WE CAN MOVE ON TO THE NEXT PAGE.

SO AT BURKE CAPITAL METRO POLICY, WE REPORT TO THE BOARD EVERY QUARTER, ANY BUDGET TRANSFERS THAT EXCEEDED $150,000.

SO FOR THE FOURTH QUARTER OF 2020, I HAVE THE FOLLOWING BUDGET TRANSFERS TO REPORT TO YOU FOR THE FIRST TRANSFER ARE ALL BETWEEN THE CPG OR CAPITAL PROJECTS, GROUP CAPITAL BUDGETS.

WAIT, I DID A COMPLETE REFORECAST IN JULY, UM, BASED ON THE TIMING OF CERTAIN PROJECTS, PUSHING AHEAD OF SCHEDULE AND OTHER PROJECTS FALLING A LITTLE BIT BEHIND SCHEDULE.

SO, UM, IT ENDED UP WITH A 3 MILLION NET TRANSFER FROM THE AMOUNT THAT WE, UH, WAS LEFT OVER WITH THE PREVIOUS TIME WHEN WE DID A REFORECAST AT THE BEGINNING

[01:30:01]

OF THE BUDGET HERE, THE SECOND BUDGET TRANSFER THAT YOU SEE AT THE BOTTOM IS WHERE WE WERE, UM, TRANSFERRING FUNDS FROM THE COVID CUTS THAT WE'VE MADE.

AND ALSO FROM THE PROJECT CONNECT VACANCY SAVINGS TO ALLOCATE ADDITIONAL FUNDS TO THE PROJECT CONNECT EFFORT.

ONCE WE HAVE RECEIVED THE GO AHEAD OF THE PROPOSITION BEING ON THE BALLADS, THE NEXT PAGE NUMBER THREE WAS ALSO FROM THE COVID RELATED BUDGET CUTS.

WE WERE TRANSFERRING FUNDS TO THE PROJECT CONNECT DEPARTMENT TO PROVIDE FUNDING FOR PROMOTIONS AND OTHER PROFESSIONAL FEES.

AND IN TRANSFER NUMBER FOUR WAS ALSO TRANSFERRING FUNDS FROM THE COVID BUDGET CUTS THAT WE'VE PUT THROUGH TO THE BUS OPERATION DEPARTMENTS TO PROVIDE THEM FUNDING WITH COVID RELATED EXPENSES.

NEXT PAGE, UH, THIS IS SHOWING OUR RESERVES AND OTHER ALLOCATED IN RESTRICTED FUNDS.

UH, WE HAVE UPDATED ALL OF THEIR RESERVES TO REFLECT THEIR BALANCES AT YEAR END WITH THE EXCEPTION OF THE STATUTORY AND BUDGET STABILIZATION RESERVES, WHICH WE WILL TRUE UP ONCE WE HAVE FINAL NUMBERS AND OUR COMPREHENSIVE ANNUAL FINANCIAL REPORT IS PREPARED.

SO YOU CAN SEE AT THE END OF FISCAL 2020, WE HAVE 50 MILLION AVAILABLE IN THE CAPITAL EXPANSION FUND, WHICH IS CONSISTENT WITH WHAT WE BUDGETED FOR.

WELL, THAT NEXT PAGE.

SO THIS IS PUTTING EVERYTHING TOGETHER IN THESE, UM, STATEMENT OF REVENUE EXPENSES, CHANGES OF NET POSITION.

AND IF YOU LOOK AT THE BOTTOM LINE, THE MIDDLE COLUMN THAT SHOWS THE ACTUAL HSAS INCREASE IN NECK POSITION OF 96 MILLION COMPARED TO THE BUDGET OF 16 MILLION.

SO THAT FAVORITE BANALITY OF 80 MILLION IS THAT THE COMBINATION OF THE 70 MILLION FAVORITE POLICY THAT WE HAVE IN REVENUE PLUS THE 10 MILLION FAVORITE QUALITY THAT WE HAVE IN OUR OPERATING EXPENSES NEXT PAGE.

SO THIS IS SHOWING THE VARIANCES BY DEPARTMENT.

IT'S THE SAME DATA THAT YOU SEE IN THE OPERATING EXPENSE REPORT, JUST CUTTING THE DATA AND DISPLAYING IT IN A DIFFERENT WAY BY DEPARTMENTS.

SO THERE'S A LOT OF DEPARTMENTS WITH SMALL VARIANCES.

UH, WHAT I WILL DO IS I'LL ONLY EXPLAIN THOSE DEPARTMENTS THAT HAVE VARIANCES GREATER THAN A MILLION DOLLARS.

SO IF YOU GO DOWN THE PAGE, YOU CAN SEE DEPARTMENT 220.

THE FINANCE DEPARTMENT IS FAVORABLE BY 4.2 MILLION.

AND A FINANCE IS WHERE WE HOLD THE BUDGET CONTINGENCY AND WHERE WE ALSO MOVED THE BUDGET CUTS THAT WE DID FOR THE COVID BUDGET CUTS.

SO OFF THOSE, UH, CONTINGENCY 4.2 MILLION IS LEFT AT THE END OF THE YEAR, AND THAT IS WHAT'S DRIVING THE FAVORABLE COMMITTEE AND THE FINANCE DEPARTMENT MOVING ALONG DOWN TO DEPARTMENT 544 FOR COMMUTER RAIL.

THEY ARE 2.9 MILLION BELOW BUDGET, WHICH IS DUE TO 31% FEWER HOURS OPERATED DUE TO THE PANDEMIC.

AND THAT RESULTED IN SAVINGS OF 2.3 MILLION.

PLUS THEY ALSO HAD ADDITIONAL SAVINGS BECAUSE OF RIGID USED DIESEL USAGE.

YEAH.

AND YOU'D GO DOWN TO DEPARTMENT 600 FULL BUS OPERATIONS.

THEY ARE 4.2 MILLION UNFAVORABLE DUE TO PANDEMIC RELATED EXPENSES FOR SALARY CONTINUATION, AND ALSO THE FULL CAPITAL METRO ACCEPTING THE LIABILITY FOR THE, UH, WORKERS LEAVE ACCRUAL.

AND THEN LASTLY, IN DEPARTMENT NINE 24 PROJECT CONNECT, UM, THERE ARE 1.7 MILLION BELOW BUDGET DUE TO SAVINGS AND MARKETING AND COMMUNICATION EXPENSES OF 770,000.

AND THE TIMING OF SOME OF THE ENGINEERING FIRMS SERVICE, IT SAYS ON THE NEXT PAGE, WE'LL LOOK CON HOW WE PERFORMED AGAINST OUR CAPITAL PROJECTS, BUDGETS.

UM, SO YOU SEE WHAT WE HAVE EXPANDED AGAINST THE BUDGET AND THEN AS A PERCENTAGE OF BUDGET.

SO IF YOU LOOK AT THE BOTTOM, YOU CAN SEE THAT WE'VE SPENT 81.8 MILLION AGAINST THE BUDGET OF 111.7 MILLION,

[01:35:03]

UH, WHICH IS 73%.

I JUST WANTED TO POINT OUT TO YOU THAT, UH, IN THE BUDGET, THERE WERE A FEW ITEMS TO TAKE UNDER CONSIDERATION.

FOR EXAMPLE, UH, WHEN COVID HAPPENED, WE PAUSED 7.7 MILLION AND CAPITAL BUDGETS IN ORDER TO PRESERVE CASH AND LIQUIDITY.

UM, SO THOSE PROGRAMS ARE STILL POSED.

AND THEN IN ADDITION TO THAT, WE HAD $6.2 MILLION OF PROJECTS THAT WERE IN THE CAPITAL BUDGET, BUT AS WE COMPLETED THE YEAR, UM, THEY ARE BEING RECLASSIFIED AS CAPITAL CONTRIBUTIONS TO OTHER AGENCIES BECAUSE IT'S NOT REALLY CAPITAL METRO CAPITAL METRO'S ASSETS.

UH, FOR EXAMPLE, THE STORM WATER IMPROVEMENTS FOR THE DOWNTOWN STATION WAS INCLUDED IN OUR BUDGET, BUT THE FUNDS SPENT ON THAT IS TREATED AS A CAPITAL CONTRIBUTION TO THE CITY'S ASSETS.

IN ADDITION TO THAT, WE ALSO HAD FUNDS ON THE, UM, CARDS EAST SIDE, UM, BUS DEPOT, UM, THAT IS A CONTRIBUTION TO THE CARTS PROPERTY.

SO WHEN YOU TAKE THAT INTO ACCOUNT, OUR TOTAL PERFORMANCE AGAINST THE BUDGET WOULD HAVE BEEN 85.7%, WHICH IS, UM, THE BASE THAT I'VE SEEN THE AGENCY YATES PERFORM IN TERMS OF BEING ABLE TO COMPETE FOR PROJECTS WITHIN THEIR BUDGETS, LOOKING AT THE INDIVIDUAL DEPARTMENTS.

UM, WHEN YOU LOOK AT COMMUTER RAIL, THEY ARE AT 63% OF THEIR BUDGET.

UM, THEY ARE, MOST OF THEIR SPENDING IS FOR POSITIVE TRAIN CONTROL TRACK UNDER CUTTING AND GREAT CROSSINGS.

THE AMOUNT THAT IS BELOW BUDGET IS PARTLY DUE TO, UH, THEIR BUDGET INCLUDED 1.3 MILLION FOR THE, UH, WATSCO LOCOMOTIVE PTC EQUIPMENT, UH, THAT IS REALLY, UM, A RECEIVABLE FROM WATSCO AND IS, AND IT WAS INVOICED TO WHAT KIND OF, SO THAT'S NOT A CAPITAL ITEM AND WAS EXCLUDED.

AND THE REMAINDER IS THEN PTC SPENDING THAT IS ROLLING INTO FISCAL 21, LOOKING AT VEHICLES, THEIR SPEND OF 24.8 MILLION WAS MOSTLY FOR 23 TRANSIT BUSES AND 12 BATTERY BATTERY ELECTRIC BUSES.

THE REASON THEY ARE BELOW BUDGET IS BECAUSE OF 2.2 MILLION FOR 20 PARATRANSIT VEHICLES THAT ARE EXPECTED TO BE RECEIVED IN EARLY FISCAL 2021.

WHEN YOU LOOK AT THE INFORMATION TECHNOLOGY BUDGETS, WE DID DELAY 2.7 MILLION OF THEIR PROJECT PROJECTS AT THE ONSET OF COVID.

AND THEN, UM, THE SPENDING THAT THEY HAVE INCURRED IS MOSTLY FOR ONBOARD VALIDATORS AND THE ENTERPRISE ASSET MANAGEMENT SYSTEM, AND THAT THE ITEMS THAT WERE DELAYED OR MOSTLY, UH, THE TICKET VENDING MACHINES, WHERE WE'RE STILL HOLDING FINAL PAYMENT UPON FINAL COMPLETION OF ALL THESE SOFTWARE UPDATES AND THEN ENTERPRISE ASSET MANAGEMENT SYSTEMS. AND SOME OF THAT PROJECT IS ROLLING INTO FISCAL 2021, AS WELL AS THE ONBOARD DIGITAL DISPLAYS THAT ARE ROLLING INTO FISCAL 2021 AT FACILITIES.

UM, THEY'RE AT 78% OF THEIR BUDGETS.

MOST OF THEIR SPENDING IS FOR THE DOWNTOWN STATION, THE NORTH OPS ELECTRIC YARD BUS AND BUS, UM, ELECTRIFICATION, AND THEN ALSO BUS STOP ENHANCEMENTS.

UM, THEY'RE UNDERSPENDING IS MOSTLY DUE TO 5 MILLION OF THEIR BUDGET THAT WAS MOVED TO CAPITAL CONTRIBUTIONS FOR THE CARTS AS DEPO AND THE DOWNTOWN STATION STORMWATER IMPROVEMENTS.

THEN, UH, THE NEXT BIG BUDGET, UM, THEIR MINING BUDGETS ARE REALLY VERY CLOSE TO BUDGET.

WHEN YOU LOOK AT A DOLLAR WISE, YOU CAN SEE THAT THE CONTINGENCY IS STILL INTACT AND THAT, UM, OVERALL THE AGENCY, UH, COMPETED THE YEAR OF VERY WELL WITHIN THEIR BUDGET FOR CAPITAL PROJECTS.

SO THAT CONCLUDES MY PRESENTATION ON THE BUDGET VARIANCES.

DO WE HAVE ANY QUESTIONS, QUESTIONS FOR RONNETTE BURNETT? I HAVE ONE WHICH IS, OR MAYBE A COUPLE IF I DID THE MATH, RIGHT.

WE WERE, UM, POSITIVE 70 OR REVENUE PRIMARILY BECAUSE OF $109 MILLION IN CARES ACT.

AND THEN, AND THEN, UH, WE S WE HAD NET

[01:40:01]

SAVINGS TO A BUDGET OF ABOUT 10 MILLION.

IS THAT FOR BOTH THOSE, RIGHT? YES.

IT'S 11 MILLION, UM, SAVINGS AND OPERATING EXPENSES AND AS, AND 70 MILLION, UH, FAVORABLE IN REVENUE.

UM, BUT FOR THE CARES ACT IN, WE WOULD HAVE BEEN THE 39, 29 MILLION UPS.

I CAN'T DO THE MATH IN MY HEAD, BUT, BUT FOR THE CARES ACT, UM, WE'D HAVE BEEN UPSIDE DOWN WHAT, UM, 170 FROM 109 AND THEN $39 MILLION, LESS THAN $11 MILLION IN SAVINGS, $28 MILLION.

YEAH, WE WOULD HAVE BEEN ABOUT 20 MILLION, UH, UNFAVORABLE, BUT FOR THE CARES ACT SO WELL, UH, WE'RE LUCKY THAT WE GOT THE CARES ACT FUNDING, BUT ALSO LOOKED AT FOR, IN TEXAS AND APPRECIATE THE GOOD WORK FOR THE STAFF TO GET TO THE SAVINGS AND SHUFFLE THINGS AROUND.

SO, UH, HAVING, UH, CONSIDERED WHERE WE MIGHT'VE BEEN OR THINKING ABOUT THIS IN MARCH AND HOW BAD THINGS COULD HAVE BEEN TO COME OUT WHERE WE ARE NOW, UM, WE SHOULD, UH, UH, SAY THANK YOU, UH, TO THE FEDERAL GOVERNMENT.

AND THANK YOU TOO, FOR BEING AN AUSTIN, TEXAS.

AND THANK YOU TO STAFF FOR DOING A GOOD JOB, BECAUSE WE'RE IN MUCH, MUCH BETTER POSITION THAN I WOULD HAVE CONTEMPLATED BACK IN MARCH OR APRIL.

SO THAT FEELS VERY GOOD.

THANK YOU FOR THE GOOD REPORT.

SO NO OTHER QUESTIONS.

OH, REMEMBER STRATTON.

I JUST WANT TO REEMPHASIZE WHAT YOU SAID.

I DON'T THINK THAT, THAT IT CAN BE SAID ENOUGH WHAT THE STAFF HAS DONE AND HOW WELL-MANAGED THIS ORGANIZATION IS.

ONCE AGAIN, UM, WE, WE, WE DID AN AMAZING THING.

I MEAN, YOU WANT TO TALK ABOUT MAKING LEMONADE OUT OF LEMONS.

UM, YOU, YOU BASICALLY HAD WOMEN'S SEEDS AND, AND, AND MADE LEMONADE.

Y'ALL DID RAYNET YOU AND YOUR TEAM TRYING TO SHUFFLE THINGS AROUND RANDY, UM, WHAT YOU MADE POSSIBLE AND, AND, AND EVERYBODY OVER THERE.

AND, AND I JUST WANT, WANNA EMPHASIZE, AGAIN, WE WERE ABLE TO BUY WHAT YOU'RE TELLING US.

WE WEATHERED THIS STORM.

WE, I KNOW WE'RE NOT OUT OF THE WOODS YET.

WE'RE, WE'RE NOT SURE WHAT'S GOING TO HAPPEN.

THANKFULLY, WE HAVE A VACCINE THAT'S, THAT'S COMING OUT, BUT BY EVERYTHING THAT I'VE SEEN IN THE TRADE PUBLICATIONS, LOOKING AT HEALTHCARE PUBS, PUBLIC HEALTH AND EVERYTHING, THERE IS A DISTINCT POSSIBILITY THAT NOT EVERYBODY THAT THIS, THAT THE VACCINE WON'T BE OUT THERE IN PUBLIC PURVIEW TO, YOU KNOW, TO READ TO FOLKS THAT AREN'T TO, LIKE, I GUESS THEY CALL IT PHASE TWO PHASE THREE, WHATEVER, TO, TO, TO REGULAR FOLK THAT AREN'T FRONTLINE WORKERS AND THOSE KINDS OF THINGS, PROBABLY UNTIL THIS SUMMER, THEY'RE TALKING ABOUT MAYBE THE POSSIBILITY OF GETTING TOWARDS HERD IMMUNITY, MAYBE BY LATE THIS SUMMER, UM, GETTING IT OUT THERE TO ENOUGH FOLKS.

SO WE'RE NOT OUT OF THE WOODS YET, BUT WHEN YOU LOOK AT THE NUMBERS THERE THAT, UM, Y'ALL FIGURED OUT HOW TO PAUSE, PUT THE PAUSE BUTTON ON SOME PROJECTS AND ON AN UNFILLED STAFF POSITIONS AND MOVE, MOVE MONEY AROUND ENOUGH, SUCH THAT WE FINISHED FISCAL YEAR, UH, 20, UH, WITH A NET POSITIVE.

THAT THAT IS, THAT IS HUGE, THAT WE WERE ABLE TO, TO ACTUALLY, AND KEEP, KEEP THE DOOR, KEEP, KEEP THE BUSES MOVING, KEEP THE DOORS OPEN, KEEP THE SERVICE WORKING FOR THE 45,000 PLUS ESSENTIAL WORKERS THAT WE KNOW FROM LOOKING AT OUR NUMBERS ARE USING OUR SERVICES ON A REGULAR BASIS.

THEY COUNT ON US EACH AND EVERY DAY TO GET TO, AND FROM WORK MEDICAL APPOINTMENTS, UH, SCHOOL, WHATEVER IT IS.

UM, THAT'S HUGE.

AND I CAN'T EMPHASIZE THAT ENOUGH AS TO HOW WELL RUN THIS ORGANIZATION IS.

AND, AND THANK YOU FOR THAT.

AND THANK YOU FOR THIS, UH, FOR THIS UPDATE THAT JUST, THAT JUST SHOWS IT AND REALLY APPRECIATE THAT.

AND LOOKING FORWARD TO, TO CONTINUED, UH, UPDATES AS WE MOVE FORWARD AND, AND GETTING INTO THIS, UM, THIS NEW, UH, EXPERIENCE, IT'S GOING TO BE PROJECT CONNECT GOING FORWARD WITH ATP AND, AND HOW THIS ALL WORKS TOGETHER.

UH, AND THAT REGARD RIGHT AT, UH, HAVE FUN, CAUSE THIS IS GOING TO BE, UH, A NEW NEW WORLD WITH US AS WE MOVE INTO THAT PHASE.

BUT THANK YOU AGAIN FOR EVERYTHING.

AND AGAIN, UM, CAN'T, CAN'T EMPHASIZE IT ENOUGH WHERE YOU ALL DID A GREAT JOB AND WE WEATHERED IT AND WE ARE WE'RE ON THE PLUS SIDE AND, AND THAT'S AMAZING.

THANKS.

THANK YOU, MEMBERS TIP OF THE HAT AS WELL TO THE, UM, ALL THE FOLKS ON THE CAPITAL IMPROVEMENTS WHO WERE ABLE TO GET THAT DELIVERED ALL OF THOSE, UH, PROJECTS DELIVERED, AS A SAID, THAT WAS MAYBE THE BEST PERCENTAGE OF BUDGET,

[01:45:01]

DELIBERATE THAT I'VE SEEN IN MY TENURE ON THE BOARD.

UM, BUT TO BE ABLE TO GET THAT STUFF DONE IN THIS ENVIRONMENT, UH, IMPRESSIVE, GOOD, UH, GOOD TO SIT UNDER THE, UH, FOR THE COUPLE OF BIG PROJECTS THAT WE HAVE OUTSTANDING NOW AND MR. CHAIRMAN REMINDER THAT THOSE CAME IN UNDER BUDGET AND AHEAD OF SCHEDULE.

LET'S NOT FORGET THAT.

SO OUR MOTTO, LET'S GET THOSE GUYS OVER AT ATP TO MATCH THAT LEVEL OF, OF, UH, PERFORMANCE.

VERY GOOD.

UH, THANK YOU.

RYNETTE THANK YOU FOR THAT GOOD REPORT.

THANKS TO ALL OF YOUR, UH, TEAMMATES OVER THERE FOR THE HARD WORK THIS YEAR TO KEEP THE SHINY SIDE UP.

SO THANK YOU.

THANK YOU.

WELL, THAT

[VIII. Reports]

WILL GO TO PRESIDENT CLARK'S REPORT, THEN WE'LL GO TO EXECUTIVE SESSION.

THANK YOU FOR, OH, I HEAR A LITTLE LITTLE FEEDBACK.

UH, THERE IT IS.

THANK YOU ED FOR BRINGING THAT UP.

SO IN TODAY'S PRESIDENT'S SUPPORT, I WANT TO HIGHLIGHT A FEW THINGS.

ONE, UH, I MADE A COMMENT ABOUT, UH, CHINA LEAVING EARLIER AND I DIDN'T GET THE COGNITIVE OR THE VICE CHAIR.

AND I JUST WANT TO, AGAIN, ON BEHALF OF ALL THE STAFF, THANK HER FOR ALL OF HER TIME COMMITMENT.

UH, SHE CERTAINLY HAS MADE ME A BETTER CEO, MADE THE STAFF A BETTER STAFF IN THE ORGANIZATION, A BETTER ORGANIZATION, AND ESPECIALLY WITH HER COMMITMENT TO THE ACTUAL USERS OR USERS OF OUR SYSTEM, OUR CUSTOMERS AND THE COMMUNITY THAT REALLY IS TRANSIT.

UH, WE'RE TRANSIT IS A LIFELINE, AND I APPRECIATE ALL THAT SHE'S DONE ON THAT TOPIC.

I'M GOING TO MISS SOME OF THE TEXTS SHE SENDS ME AND I'VE TAKEN THE EIGHT OH ONE.

UH, SHE'S SOMETIMES OUT THERE WITH HER DAUGHTER TAKING BUS, BUT I HOPE THAT SHE'LL STILL REMAIN A GREAT CUSTOMER OF CAP METRO.

AND THEN WE PERFORM WELL FOR HER AND I'M POSITIVE IF WE'RE NOT PERFORMING, SHE'LL STILL REMEMBER TO TEXT ME ON ANY ISSUE RELATED TO THE BUS.

SO, UM, BUT, UH, WE WISH HER VERY WELL.

AND THANK HER AGAIN FOR ALL OF HER EFFORTS AND TIME AT CAP METRO, A COUPLE OF THINGS TO HIGHLIGHT HERE.

I WANTED TO HIGHLIGHT A FEW THINGS, ESPECIALLY AS, AS THE HOLIDAY SEASON SEASON IS APPROACHING US.

ONE IS OUR ANNUAL STUFF, THE BOSS CAMPAIGN, UH, WE'VE DONE A LOT WITH THE FOOD BANK OVER THE LAST FEW YEARS AND DEREK CHUBS AND HIS TEAM AT THE FOOD BANK IS ONE OF THE MOST IMPORTANT ORGANIZATIONS IN OUR COMMUNITY.

AND ESPECIALLY THIS YEAR, THEY ARE UNDER AN ENORMOUS AMOUNT OF STRAIN, UH, REALLY HELPING INDIVIDUALS AND FOOD NEED.

AND WE'VE DONE A LOT THIS YEAR WITH THEM, UH, AND OUR METRO ACCESS PROGRAM THAT DELIVERING FOOD, UH, SENIOR STAFF ACTUALLY DONATES A AND VOLUNTEERS, UH, AT THE FOOD BANK AND HAS BEEN OUT THERE MULTIPLE TIMES.

UH, BUT NOW WE GET THE ANNUAL STUFF, THE BOSS CAMPAIGN, AND THIS IS EXCITING BECAUSE IT'S WITH THE CENTRAL TEXAS FOOD BANK, AS I MENTIONED, BUT ALSO WHOLE FOODS.

SO IT'S A LITTLE DIFFERENT THIS YEAR, OBVIOUSLY BECAUSE OF COVID, BUT YOU CAN DO CONTRIBUTIONS THAT ARE MONETARY OR FOOD PURCHASE VIA A VIRTUAL SHOPPING CART.

AND WE ALSO HAVE A BUS OUTSIDE OF 29, 10.

SO IT RUNS FROM DECEMBER 10TH OF DECEMBER 24TH.

AND I VERY MUCH ENCOURAGE ANYONE IN OUR COMMUNITY THAT CAN HELP.

THIS IS AN AMAZING ORGANIZATION AND, AND OF ALL YEARS, UH, INDIVIDUALS IN OUR COMMUNITY REALLY DO NEED FOOD ASSISTANCE AND, UH, ANYONE THAT CAN CONTRIBUTE, PLEASE DO SO.

SO THANKS FOR ALL THE WORK, UH, UH, ON THAT.

AND YOU'LL SEE, UH, LANI STEARNS ON OUR COMMUNITY INVOLVEMENT TEAM IS, UH, A DOING HIS ANNUAL PLAYING OF AN ELF THAT HE DOES SOME FUN SOCIAL MEDIA VIDEOS WITH TO ENCOURAGE PEOPLE TO PARTICIPATE.

UH, THE NEXT THING WE WANT TO HIGHLIGHT IS A CAP METRO, AN ANNUAL TRADITION WE DO HERE AT CAP METRO AND A SAFETY RISK, AND ASSESSABILITY TEAM GENERALLY TAKES THE LEAD ON THIS, BUT IT'S BEEN A HISTORIC THING THAT WE DO HERE AT CAP METRO.

WE CHANGED THE SCHOOL THIS YEAR.

UH, IT'S, IT'S A DIFFERENT, UH, SCHOOL THAT WE WERE DOING THIS, BUT I'M TOLD IT'S UNOFFICIALLY.

IT'S THE 20TH YEAR.

WE'VE BEEN SPONSORING STUDENTS AT NEIGHBORHOOD SCHOOLS AND IT'S, UH, CHILDREN.

AND, UH, THAT MAY HAVE LESS MEANS OR FAMILIES WITH LESS MEANS.

AND THEY HAVE KIND OF A WISHLIST AND CAP METRO.

UH, OUR STAFF FAMILY GETS TOGETHER.

AND IF YOU WILL, UH, ADOPT A CHILD'S WISHLIST OR MULTIPLE CHILDREN'S WISHLIST.

SO WE WERE ABLE TO DO GIFTS THIS YEAR FOR 124 STUDENTS BASED ON CAP METRO STAFF AND MAKING A REALLY GOOD HOLIDAY FOR FOUR KIDS THAT MAY MEAN OTHERWISE WOULD NOT.

SO, UM, A, I WANT TO, UH, YOU KNOW, W WISH THE, UH, THE KIDS AT MEDSTAR SANCHEZ SCHOOL AND ALL THE FACULTY THERE AND STAFF, UH, HAPPY HOLIDAYS.

AND I JUST REALLY WANT TO AFFECT THE CAP METRO, UH, STAFF TEAM THAT DOES THIS EVERY YEAR AND DONATES IT'S IT'S.

I THINK IT SHOWS OUR COMMITMENT TO THE COMMUNITY, AND IT'S A, IT'S A GREAT THING TO SEE OUR, UH, OUR TEAM COME TOGETHER AND HELP AND HELP OTHERS LAST PIECE.

UH, WE HAVE A SLIDE HERE ON OUR FOOD DELIVERY PROGRAM.

I BELIEVE ED, AND THIS IS WHAT I MENTIONED EARLIER WITH OUR, OUR, OUR COORDINATION

[01:50:01]

WITH THE FOOD BANK AND, UH, GOOD APPLE.

WE'RE ALMOST AT 800,000 MEALS DELIVERED.

AND WE'VE BEEN DOING THIS SINCE THE START OF THE PANDEMIC, AS YOU'VE ALL HEARD ME SAY MANY TIMES THAT WE WERE THE FIRST AGENCY IN THE COUNTRY TO ACTUALLY BE INNOVATIVE AND DO THIS PROGRAM.

AND IT'S, UH, GOT COPIED BY DOZENS OF CITIES ALL OVER THE COUNTRY.

AND IT WAS JUST SUCH A GREAT, UH, PARTNERSHIP.

UH, WE'VE BEEN DOING.

WE JUST ACTUALLY HAD A COMMUNITY CARE AND CENTRAL HEALTH AS PARTNERS TO THIS AS WELL.

OBVIOUSLY, COVID IS NOT DONE A VACCINE NEWS TODAY IS OBVIOUSLY GREAT NEWS.

UH, MAYBE IT IS THE BEGINNING OF THE END, THE FAMOUS CHURCHILL SAYING, BUT WE STILL HAVE A LONG WAY TO GO AND PROBABLY A LONG SPRING TO GO.

AND WE'RE GOING TO KEEP DOING THIS PROGRAM WITH OUR PARTNERS AS LONG AS WE, UH, ARE NEEDED TO HELP OUR COMMUNITY.

SO KUDOS TO, UH, SPECIFICALLY THE METRO AXIOM ACCESS TEAM FOR ALL THEY'RE DOING ON THAT.

I, UH, DO NOT HAVE SLIDES FOR THE NEXT TWO ITEMS, BUT ONE, I WANTED TO REMIND EVERYONE THAT, UH, THIS FRIDAY AT 1:00 PM, THERE'LL BE A JOINT MEETING BETWEEN THE CAP METRO BOARD AND CITY COUNCIL.

AND I THINK THIS MIGHT BE NUMBER 10.

UH, IT COULD BE CARRIED WILL REMIND ME IF IT'S NINE, 10 OR 11, BUT I THINK IT MIGHT BE NUMBER 10.

AND I THINK AGAIN, GO SHOWS THE GREAT COLLABORATION BETWEEN THE TWO ORGANIZATIONS CAN'T THANK CITY STAFF ENOUGH.

WE COULDN'T HAVE ASKED FOR A BETTER PARTNER, UH, LEADING UP TO NOVEMBER 3RD.

AND SINCE THEN, THE TEAM HAS BEEN WORKING IN TANDEM ALL DAY EVERY DAY AT THIS MEETING, UH, THE NOMINATING COMMITTEE, WHICH, UH, HERE WE HAVE A BOARD MEMBER KITCHEN, A BOARD MEMBER, UH, MITCHELL ARE ON PRESENTING NAMES OF, UH, INDIVIDUALS FOR THE NEW AUSTIN TRANSIT PARTNERSHIP BOARD.

AND WE'LL BE GIVING AN OVERALL UPDATE ON NEXT ACTIVITIES FOR THAT AS WELL.

SO, UH, THAT IS A MEETING AGAIN ON ONE O'CLOCK THIS FRIDAY, AND THAT'LL BE LIVE FOR THE COMMUNITY ON ATX N AND THEN LASTLY, I'LL END UP WITH SOME POSITIVE NEWS.

UM, WE FOUND OUT LAST WEEK AND I GOT A CALL FROM THE FDA ADMINISTRATOR PERSONALLY AT THE END OF LAST WEEK THAT WE RECEIVED A $900,000, UH, FTA GRANT FOR OUR APPLICATION.

AND THE CITY WAS, UH, WAS A SPONSOR OR A I'M GONNA CALL US, UH, WE'RE GONNA BE A FULL CO-SPONSOR, BUT A LETTER OF SUPPORT SPONSOR IS I THINK THE WAY THEY USE IT IN THAT PROGRAM.

AND IT'S $900,000 FOR EQUITABLE TRANSIT ORIENTED DEVELOPMENT AND HELPING WITH OUR ANTI-DISPLACEMENT STRATEGIES.

SO IT'S PART OF THE TRANSITORY DEVELOPMENT PROGRAM AND FTA, THEY ONLY AWARD A LITTLE OVER $6 MILLION, AND WE ACTUALLY GOT A GRANT FOR 900,000, SO VERY LARGE AWARD OUT OF THAT PROGRAM.

AND WE PUT IT INTO STUDY, UH, HOW WE COULD BEST USE TRANSIT ORIENTED DEVELOPMENT AND THE ANTI-DISPLACEMENT STRATEGIES ON THE ORANGE AND BLUE LINES SPECIFICALLY.

AND I JUST WANT TO THANK THE FOR THAT.

AND THAT I THINK IS A GREAT SHOW TO OUR COMMUNITY, THAT WE ARE ONLY SIX WEEKS AFTER AN ELECTION, AND WE JUST RECEIVED A FEDERAL GRANT THAT IS BECAUSE OF THAT, UH, DECISION TO MOVE THE PROGRAM FORWARD IN A VERY CRITICAL PART OF OUR PROGRAM, UH, AS ATP GETS SET UP AND AS WE MOVE TOWARDS A COMMUNITY ADVISORY COMMITTEE AND ALL OF THESE ELEMENTS TOGETHER, SO JUST REALLY GOOD POSITIVE NEWS, UH, OUT OF THE FTA ON THAT.

SO WITH THAT, I'M HAPPY TO TAKE ANY QUESTIONS, THOUGHTS, IDEAS, UH, COMPLAINTS, OR ANY OTHER IDEAS YOU MAY ALL HAVE.

AND LASTLY, I ALWAYS JUST WANT TO THANK THE STAFF FOR EVERYTHING THEY DO ALL DAY.

EVERY DAY HAS BEEN A CHALLENGING YEAR AND THEY CONTINUE TO PERFORM, UH, EVERY SINGLE DAY.

AND I HOPE, UH, IF I DON'T SEE THEM ALL DIRECTLY, I HOPE THEY HAVE A FANTASTIC HOLIDAY SEASON.

THANK YOU.

I'M PRESIDENT MARK.

AND, UH, YOU ECHO THOSE, UH, COMPLIMENTS TO THE BEST WISHES TO THE STAFF.

UH, UH, IT'S BEEN, UH, A BRUTAL YEAR AND WE'RE VERY, VERY GRATEFUL FOR WHAT YOU'VE DONE AND ALL THAT YOU'VE ACCOMPLISHED THIS YEAR.

AND HOPEFULLY THIS HOLIDAY SEASON COMING UP, EVERYBODY WILL GET TO RELAX JUST A LITTLE BIT, UH, IN THE FALL OF SHAMELESS A METHOD AND NOT SET THE ALARM CLOCK FOR AT LEAST A COUPLE OF DAYS WHERE WE'RE GRATEFUL FOR ALL THE, UH, YOU STAFF HAVE ACCOMPLISHED.

THANK YOU, PRESIDENT CLARK FOR THAT GOOD NEWS FROM THE FTA.

UM, THE SIGNIFICANCE OF THAT, UH, IS NOT LOST ON US.

UM, THE, THE IMMEDIACY OF IT, THE SIZE OF IT RELATIVE TO THE TOTAL PROGRAM AND THE RELEVANCE OF IT IN CONNECTION WITH WHAT WE'RE TRYING TO ACCOMPLISH, ACCOMPLISH WITH THE, UH, DISPLACEMENT MITIGATION.

SO VERY QUICK, VERY TIMELY, UH, VERY SYMBOLIC, UH, VERY IMPORTANT MESSAGE THAT WE'RE IN ALIGNMENT WITH FTA GOALS.

AS WE EMBARK UPON THESE REALLY SIGNIFICANT, UH, TRANSFORMATIONAL PROJECTS, THAT'S FABULOUS NEWS, UH, UNLESS THERE'S ANYTHING ELSE THAT WE NEED TO DO NOW, UH, THE

[IX. Executive Session of Chapter 551 of the Texas Government Code]

BOARD WILL GO INTO EXECUTIVE SESSION UNDER SECTION FIVE 51.074 FOR DISCUSSION OF PERSONNEL MATTERS RELATED TO THE PRESIDENT AND CEO,

[01:55:01]

HIS APPOINTMENT AGREEMENT THAN ANNUAL PERFORMANCE EVALUATION, UH, BOARD MEMBERS.

YOU SHOULD HAVE A SECOND INVITATION, UH, FROM ED THAT WILL ALLOW YOU TO GO INTO A SEPARATE EXECUTIVE SESSION.

UM, AND WE'LL CONVENE THAT LINK IN ABOUT FIVE MINUTES, GIVE YOU TIME TO GO GET A NEW CUP OF TEA.

AND, UH, AND THEN WE'LL COME BACK TO THIS MEETING ROOM AND, UH, TO, UH, HAVE OUR FINAL ACTION ITEM.

SO, UH, EVERYBODY UNDERSTANDS THAT OUR TIME IS ONE 59.

WE'RE GOING INTO THE SECOND SESSION.

WE'LL SEE YOU IN FIVE MINUTES ON THE OTHER LINK.

AND THEN AFTER WE CONCLUDE OUR EXECUTIVE SESSION, COME BACK HERE FOR JUST A COUPLE OF MINUTES FOR THE PUBLIC PORTION OF OUR EXECUTIVE SESSION AGENDA.

ALL RIGHT.

THANKS EVERYBODY VERY WELL.

UH, THANK YOU, ED.

AND WE'RE NOW OUT OF EXECUTIVE SESSION AND THE TIME IS TWO 57.

WE'LL TAKE UP OUR FINAL

[VI.3. Approval of a resolution confirming the evaluation rating for Fiscal Year 2020 for President & CEO Randy Clarke as ___________ and that the Board approves the adjustment of base pay to $________ and a performance achievement bonus of $_________. The increases are awarded retroactively to October 4, 202 in accordance with the Employment Agreement.]

TWO ACTION ITEMS. THE FIRST OF WHICH IS THE ANNUAL PERFORMANCE REVIEW FOR THE PRESIDENT AND CEO, UH, DONNA, ANYTHING THAT YOU NEED TO TELL US BEFORE WE TAKE UP THE MOTION? SURE.

THANK YOU.

JEN COOPER.

GOOD AFTERNOON.

CHAIRMAN COOPER, BOARD MEMBERS, PRESIDENT CLARK, I'M DONALD SIMMONS, EXECUTIVE VICE PRESIDENT OF ADMINISTRATION.

THE ACTION THAT YOU HAD BEFORE YOU FOR THE PRESIDENT AND CEO IS 2020 PERFORMANCE REVIEW IS TO SATISFY A REQUIREMENT THAT'S IN THE PRESIDENT AND CEOS EMPLOYMENT AGREEMENT AS WELL AS IS REQUIRED BY THEIR CEO COMPENSATION POLICY.

SO, UM, THE BOARD HAS TO HAS DONE THE REVIEW AS, AS YOU NORMALLY DO, AND I'LL TURN IT BACK OVER TO YOU TO, UM, TO TAKE THE MOTION ON THE RESULTS OF THEIR PERFORMANCE REVIEW AND RELATED INCREASE IN BONUS.

THANK YOU, DONNA.

UM, IN EXECUTIVE SESSION, WE HAD THE OPPORTUNITY, UH, TO, UH, DISCUSS AND EVALUATE THE PERFORMANCE OF OUR, UH, PRESIDENT RANDY CLARK.

AND, UH, WE HAVE A MOTION, UH, WITH RESPECT TO THAT.

UM, AND I'LL, UH, YOU KNOW, TO MR. STRATTON, MR. CHAIRMAN, I WOULD RESPECTFULLY MAKE A MOTION THAT THE CAPITAL METROPOLITAN TRANSPORTATION AUTHORITY BOARD OF DIRECTORS RECOGNIZE THE EVALUATION RATING OF PRESIDENT AND CEO, RANDY CLARK, FOR THE PERIOD OF OCTOBER 1ST, 2019 THROUGH SEPTEMBER 30TH, 2020 PER HIS EMPLOYMENT AGREEMENT BE EXCEPTIONAL.

AND AS SUCH HIS BASE COMPENSATION BE ADJUSTED BY 3% TO THE NUMBER OF $327,411 BASE PAY.

AND THAT A PERFORMANCE ACHIEVEMENT BONUS OF 5% EQUAL TO THE AMOUNT OF $15,000, EIGHT, $15,893 AND 75 CENTS BE APPLIED AS WELL.

THESE INCREASES WILL BE RETROACTIVE TO OCTOBER 4TH, 2020, AND ACCORDANCE WITH HIS CURRENT EMPLOYMENT AGREEMENT.

UH, REMEMBER STRATTON, JUST TO BE CLEAR, THE RESOLUTION IS POSTED, UM, A RECITAL THAT I JUST WANT TO BE THAT IS IN THE, UH, WE'RE CLEAR THAT WE'LL BE IN THE, UH, RESOLUTION AS VOTED UPON, WHICH IS THE FIRST ONE IS WHEREAS THE CAP METRO TRANSPORTATION AUTHORITY BOARD OF DIRECTORS ENTERED INTO AN EMPLOYMENT AGREEMENT WITH RANDY CLARK EFFECTIVE MARCH 17, 2018.

AND WHEREAS, UH, WE HAVE EVALUATED, UH, HIS PERFORMANCE IN ACCORDANCE WITH HIS EMPLOYMENT AGREEMENT AND THE PRESIDENCY, YOU KNOW, TOTAL COMPENSATION, UH, POLICY, AND THEN THE TWO RECITALS THAT YOU HAVE.

UM, UM, JUST WANT TO CLARIFY THAT'S IN THE RECORD.

THE OTHER THING I WANT TO CLARIFY IS THAT, UH, WELL LET ME JUST, WE HAVE THE MOTION.

DO WE HAVE A SECOND? AND THEN I'LL COME BACK TO THE DISCUSSION ITEM.

SECOND, I REMEMBER KITCHEN.

THE OTHER ITEM I JUST WANTED TO MENTION IS THAT, UH, WITH A, UH, WELL, FIRST OF ALL, THAT THE BOARD HAS BEEN VERY PLEASED WITH THE SUPERHUMAN EFFORT, RANDY, UH, OVER THE LAST COUPLE OF YEARS TO GET US WHERE WE ARE TODAY RELATIVE TO THE, UM, CERTAINLY THE PROJECT CONNECT, BUT ALSO THE VARIOUS 17 MONTHS OF RIDERSHIP IMPROVEMENTS, THE ENGAGEMENT WITH THE COMMUNITY.

I THINK WE'RE APPROACHING 800,000 MEALS DELIVERED.

UM, DURING THIS PANDEMIC SESSION,

[02:00:01]

WE JUST GOT A FINANCIAL REPORT THAT WORKED $70,000, I THINK, UH, BETTER THAN WE ANTICIPATED BEING SIDE OF THIS.

SO I THINK IT IS FAIR TO SAY, AND OTHERS MAY CHIME IN THAT THE BOARD HAS BEEN VERY PLEASED AND GRATEFUL, FRANKLY, FOR THE WORK THAT HAS BEEN DONE BY RANDY AND THE LEADERSHIP TRANSLATED INTO A LOT OF GREAT WORK BY STAFF.

UH, AND I WOULD SAY AS WELL, THE GREAT LEVEL OF COLLABORATION AS BETWEEN OUR ORGANIZATION AND OTHER ORGANIZATIONS, INCLUDING THE CITY.

AND LATER THIS WEEK, WE'LL HAVE AN UNPRECEDENTED 10TH, UH, BOARD MEETING, THE JOINT BOARD MEETING BETWEEN OUR BOARD AND CITY COUNCIL LEADING, I THINK TO THE REALLY GOOD OUTCOME ON PROJECT CONNECT.

SO, UH, ALL THAT BEING SAID, UH, RANDY, WITH THAT LEVEL OF APPROVAL AND, AND JOB PERFORMANCE WOULD BE ENTITLED TO MORE DOLLARS BOTH IN THE SALARY AND IN THE BONUS STRUCTURE UNDER OUR USUAL PROCESS, BUT IT WAS IMPORTANT TO RANDY AND WE RECOGNIZE THAT THAT HIS, UH, PAY RAISE AND BONUS BE MORE IN KEEPING WITH WHAT THE LINE EMPLOYEES OF THE, OF CAP METRO WERE GETTING.

DIDN'T WANT TO GET TOO FAR AHEAD OF THEM AND DIDN'T WANT TO GET AHEAD OF THEM AT ALL.

AND SO THE 3% RAISE COULD HAVE BEEN HIGHER BASED ON THE PERFORMANCE PERFORMANCE LEVEL, BUT, UH, GIVEN THE CIRCUMSTANCES AND THE TIMES THAT WE'RE IN, UM, HE FELT LIKE, AND WE HONORED THAT REQUEST TO LIMIT IT, LIMIT IT.

SO AS CONSEQUENCES THIS YEAR, BECAUSE OF THE COMPOUNDING EFFECT OVER TIME, IT ALSO MEANS THAT FUTURE YEARS WILL BE TOUGHER FOR HIM TO, UH, MAKE QUITE AS MUCH.

BUT WE APPRECIATE THAT.

AND, UH, IT'S INDICATIVE OF THE KIND OF LEADERSHIP THAT WE'VE GOTTEN HERE.

SO THANK YOU FOR ALL YOU'VE DONE.

AND WE'RE GLAD TO, UH, GET THIS RESOLUTION DONE HERE SHORTLY AND THEN TAKE UP THE NEXT ONE.

UM, AND SO WE HAVE A MOTION AND A SECOND, ANY OTHER DISCUSSION ON THIS ACTION ITEM, THREE PARTITION.

I JUST WANT TO, UM, ADD MY, UM, ADD MY THOUGHTS, WHICH ARE ECHOING THOSE THAT MY COLLEAGUES HAVE MADE.

UM, SO RANDY, I THINK YOU'VE DONE A, JUST A, UH, EXCEPTIONAL, EXCEPTIONAL JOB AND IT IS HIGHLY APPRECIATED.

UM, AND WE KNOW THAT YOU WILL CONTINUE THAT WORK AND, UM, VERY, VERY MUCH APPRECIATED WHAT YOU'VE BEEN ABLE TO HELP OUR COMMUNITY DO AT THIS POINT WITH CAP METRO, UM, AND THE WORK THAT YOU'LL BE DOING IN THE FUTURE.

AND YOU'VE BUILT A WONDERFUL TEAM, UH, AND THAT'S A SIGN OF A GOOD LEADER.

SO I THANK YOU FOR THAT.

UH, REMEMBER IN KOREA, UH, YES.

YEAH.

ALSO WANNA, UH, THANK YOU FOR ALL YOU HAVE DONE FOR OUR AUSTIN.

YOU KNOW, YOUR, WHEN YOU CAME ON BOARD, MOST OF THE CITY'S TRANSIT SYSTEMS WERE LOSING PASSENGERS AND YOU CAME INTO AUSTIN AND, YOU KNOW, WE USED TO GET CRITICIZED FOR HAVING EMPTY BUSES AND BY YOUR LEADERSHIP COMING IN HERE WHERE WE ACTUALLY INCREASED OUR RIDERSHIP.

AND, YOU KNOW, WE REALLY NOTICED THAT, THAT IT WAS YOUR HIGH ENERGY, THAT YOU HAD YOUR PASSION FOR TRANSIT THAT MADE THIS POSSIBLE.

SO I REALLY WANT TO THANK YOU FOR THAT.

AND I KNOW THAT YOU DESERVE A LOT MORE, BUT WE'RE GOING THROUGH SOME DIFFICULT TIMES, BUT WE WILL, YOU KNOW, BE A VERY APPRECIATIVE OF EVERYTHING YOU HAVE DONE AND YOU GOTTA DO.

AND, AND I JUST KNOW IN MY HEART, YOU KNOW, YOU'RE GONNA, YOU'RE GONNA ACCOMPLISH BIG THINGS HERE IN AUSTIN.

WE REALLY, REALLY OWE YOU A LOT MORE, UH, MR. CHAIR, COUNCIL MEMBER, UH, MR. TREVELYAN, I JUST WANT TO SAY, UH, YOU, UH, YOU CAME IN, UH, DURING A, A, A DIFFICULT TIME AND, UH, YOU HAVE TURNED THE ORGANIZATION INTO A COMMUNITY FACING ORGANIZATION.

UH, WE HAVE GONE PLACES THAT WE HAVEN'T GONE.

WE HAVE TALKED TO PEOPLE THAT WE'RE NOT USED TO TALKING TO.

UH, WE HAVE FOUND OUT THINGS THAT, THAT, UH, THAT NEED TO BE DONE.

AND YOU HAVE BEEN A PART OF THE DISCUSSION OF, UH, OF TRYING TO BUILD EQUITY WITHIN THE COMMUNITY.

THERE'S NOT A MEETING THAT I'VE ASKED YOU TO TAKE THAT YOU HAVEN'T TAKEN.

THERE'S NOT A PERSON THAT I'VE ASKED YOU TO TALK TO THAT YOU HAVEN'T TALKED.

UH, WE STILL HAVE, UH, MOUNTAINS TO SCALE.

UH, BUT, BUT I'M SATISFIED THAT, THAT YOU ARE A STRONG PARTNER.

WHO'S COMMITTED TO DO THE RIGHT THING ACROSS THE COMMUNITY.

AND THAT MEANS EVERYTHING TO ME AND TO MY COMMUNITY, THAT WE WOULD WORK TOGETHER REASON TOGETHER AND BUILD TOGETHER.

SO I LOOK FORWARD TO CONTINUING TO WORK WITH

[02:05:03]

NEVER MITCHELL.

UH, RANDY, IF YOU HAD ASKED ME THREE YEARS AGO, WHETHER WE WOULD BE FACING A $7.1 BILLION FUN DESIGN AND CONSTRUCTION PROJECT, I WOULD HAVE SAID NOT ONLY WERE YOU CRAZY, I WOULD NEED TO CHECK IT OUT, VISIT IMPOSSIBLE.

AND THE FACT THAT IT IS HERE IS I THINK IT'S THE SINGLE MOST TRANSFORMATIVE PROJECT FOR THE CITY.

AND I'M GLAD YOU WERE THE HILL AND I'LL SUPPORT YOU THE ENTIRE WAY, NEVER STRATTON.

UH, RANDY, THANK YOU.

YOU YOU'VE ACCOMPLISHED A LOT.

YOU, UM, WHEN I FIRST CAME IN ON THIS BOARD AND DECEMBER OF 2018, ONE OF MY FIRST VOTES WITH CONSEQUENCE WAS, HEY, HERE'S THIS NIFTY LITTLE PROJECT CONNECT THING, WILL YOU VOTE FOR IT? PLEASE SAYS THE BOARD MEMBERS.

THAT WAS MY FIRST INTRODUCTION TO WHERE WE WERE AND WHAT WAS REALLY GOING ON HERE.

AND, UM, YOU, YOU, YOU HAVE MET AND EXCEEDED MY EXPECTATIONS.

AND I I'VE SAID THIS BEFORE I CAME IN WITH, WITH, WITH AN EYEBROW RAISED AND WITH SOME, WITH A HINT OF SKEPTICISM, UH, FOR, FOR, FOR THIS AGENCY, UH, BASED ON MY OWN PERSONAL EXPERIENCE WITH IT, I I'VE SAID BEFORE, I'VE HAD A LOVE, HATE RELATIONSHIP WITH CAP METRO OVER THE YEARS FROM MY EXPERIENCES USING IT, BUT ALSO JUST IN GENERAL FROM, UH, FROM WHAT I'VE SEEN AND HEARD, UH, OTHER INDIVIDUALS HAVE EXPERIENCED WITH, UH, IN MY COMMUNITY.

UH, I WANNA SAY THAT IT, IN SHORT ORDER, YOU, YOU HELPED ME DO A COMPLETE ONE 80.

YOU HAVE PROVED ME WRONG MOST TIMES WHEN I WAS QUESTIONING AND CONCERNED ABOUT THINGS.

AND WHEN I RAISED POINTS OF CONCERN, YOU WERE VERY QUICK TO, TO REACH OUT TO ME AND, AND HELP ADDRESS THOSE CONCERNS AND, UM, VERY QUICKLY, UH, GO TO BAT AND, AND FIGURE OUT WHAT NEEDED TO BE DONE AND GET THE JOB DONE.

UM, YOU HAVE ENSURED THAT THIS AGENCY HAS TAKEN CARE OF AND DONE PROJECTS UNDER BUDGET AND ON TIME OR AHEAD OF SCHEDULE.

AND THAT SAYS AN AWFUL LOT.

WE'VE DONE SOME AMAZING THINGS SO FAR.

I AM VERY EXCITED, VERY PLEASED, AND VERY PROUD OF THE WORK THAT CAP METRO HAS DONE.

AND I LIKE MY FELLOW BOARD MEMBERS ECHO THE FACT THAT I DO NOT BELIEVE THAT THIS WOULD HAVE BEEN POSSIBLE WITHOUT YOUR, YOUR LEADERSHIP AND YOUR INVOLVEMENT.

AND, AND IT SHOWS FROM THE MOMENT THAT YOU, YOU GOT HERE AND YOU COMMITTED TO, TO USING THE VERY, UH, PUBLIC TRANSPORTATION FOR WHAT YOU SAID, YOU, YOU, YOU WERE GOING TO BE A LEADER OF, UH, TWO MEETINGS THAT YOU TAKE WITH CITY OFFICIALS AND WITH OTHERS.

AND I GREATLY APPRECIATE THAT.

AND THROUGH IT ALL, YOU TREAT EVERYBODY THE SAME, WHETHER YOU'RE, YOU'RE INTERACTING WITH THE MAYOR OR INTERACTING WITH ONE OF YOUR FRONTLINE, UH, BUS OPERATORS.

AND I REALLY APPRECIATE THAT.

AND IT MEANS AN AWFUL LOT TO ME.

AND, UM, I, I'M LOOKING FORWARD TO CONTINUING THAT RELATIONSHIP.

THANK YOU FOR WHAT YOU'VE DONE AND, UM, KEEP UP THE GOOD WORK, CONTINUE TO HAVE FUN AND DO GOOD THINGS.

THANKS MEMBERS.

UH, I'LL JUST CONCLUDE BY SAYING THIS AWFULLY HIGH PRAISE FOR A GUY WHO WON'T EAT A PLATE OF BARBECUE OR A CHICKEN TACO MORE FOR US, MR. CHAIRMAN, AND THAT THANKFULLY FOR YOUR EVALUATION, THERE WASN'T ANYTHING ABOUT FOOD CHOICES, UH, SERVED AT A BOARD MEETING ON, SO WE'LL LOOK FOR SOME IMPROVEMENT IN THAT AREA AS WELL.

UH, BUT, UH, UH, WE HAVE A MOTION.

WE HAVE A SECOND, UH, I THINK WE HAVE COMMENTS FROM ALL THE BOARD MEMBERS, UH, ON THE LINE AND, UH, UH, I'LL TAKE UP A VOTE AND DO IT BY, UH, SEE IF I'VE GOT A SCRIPT HERE, DO IT, UH, BY INDIVIDUAL CALLING OUT EACH INDIVIDUAL, UH, UH, MAYOR HILL I THINK, IS NOT HERE AT COUNCIL MEMBER, RENTER, MARIA, HOW ARE YOU? YES.

LIKE YOU REMEMBER STRATTON.

I, UH, I THINK BUS SHARE CARS IS NOT HERE.

UM, MEMBER KITCHEN.

UH, YES.

AND, UH, COMMISSIONER TREVELYAN.

I REMEMBER MITCHELL, UH, AND COOPER IS, UH, I AS WELL.

SO THE MOTION CARRIES SIX TO ZERO TO NOT PRESENT.

GO AHEAD.

NOW, RANDY, YOU'RE SAFE.

YOU CAN SAY WHATEVER YOU WANT TO, UM, SORRY.

IT'S ALMOST, UH, UH, EMOTIONAL, UH, BUT I, I JUST WANT TO SAY A COUPLE OF QUICK THINGS, IF, IF, UH, APPRECIATE THE MOMENT, WHICH WOULD A, UH, I REALLY APPRECIATE ALL THOSE COMMENTS.

THEY, IT MEANS INCREDIBLE TO HAVE YOUR BOSSES, UM, SAY THOSE KINDS OF WORDS AND, UH, THAT, THAT IT DOES MEAN A LOT.

UH,

[02:10:01]

AND I WANT YOU TO KNOW THAT I ALSO APPRECIATE HEAVILY YOUR PARTNERSHIP, YOUR TRUST, YOUR CONFIDENCE, AND THE AMOUNT OF TIME YOU ALL PUT INTO THESE INCREDIBLY IMPORTANT ISSUES AS WELL.

UM, AND I VERY MUCH LOOK FORWARD TO WORKING WITH YOU ALL.

UH, WE WILL, WE HAVE ACCOMPLISHED A LOT TOGETHER, BUT WE HAVE A LOT STILL TO ACCOMPLISH.

AND, UH, I PLAN ON BRINGING THAT TENACITY AND A AS ENERGY, I GUESS IT'S CALLED, UH, TO, TO THAT COMMITMENT.

AND I AM VERY MUCH COMMITTED TO, UH, ALWAYS MAKING SURE THAT WHATEVER WE DO IS FOR THE COMMUNITY, THE COMMUNITY.

UM, WE, WE ARE HERE TO SERVE A COMMUNITY.

UM, SECONDARILY AS MUCH AS THOSE COMMENTS WERE VERY NICE.

I, UH, AND I APPRECIATE THEM.

UM, THE CEO IS NOTHING OF AN ORGANIZATION WITHOUT STAFF AND THE STAFF THAT HIS ORGANIZATION IS FANTASTIC.

I, UH, WHETHER THEY'RE SENIOR STAFF MEMBERS, DON, AND KERRY HAVING TO BE ON THIS CALL TO SOMEBODY OTHER SENIOR STAFF THAT YOU'VE INTERACTED WITH, UH, TODAY'S BOARD MEETING AND A LOT OF BOARD MEETINGS TO OTHER MEMBERS OF THE MANAGEMENT TEAM, TO OUR FRONTLINE STAFF.

UM, WE'VE DONE A LOT, UH, I THINK MORE RECOGNIZING OUR FRONTLINE STAFF AND WE'RE GOING TO CONTINUE TO DO THAT EVEN MORE, ESPECIALLY AS WE COME OUT OF COVID, UH, THERE'S ABOUT 2000, YOU KNOW, WOMEN AND MEN THAT WORK IN THIS LARGER ORGANIZATION SOON TO BE EVEN A MUCH LARGER ORGANIZATION.

AND I'M IN AWE BY WHAT THEY DO EVERY DAY.

I LOVE TRANSIT.

I'VE BEEN IN THIS FIELD FOR BASICALLY MOST OF MY PROFESSIONAL CAREER.

I THINK WHAT PEOPLE IN TRANSIT DO IS ABOUT AS MEANINGFUL OF WORK AS ANY TYPE OF WORK THERE IS OUT THERE, IT SHOULD BE RESPECTED BY THE COMMUNITY.

IT SHOULD BE TREATED WITH THAT RESPECT.

THEY SHOULD, PEOPLE NEED FAIR WAGES AND FAIR BENEFITS.

I THINK WE'VE IMPROVED THAT, AND THERE'S ALWAYS ROOM TO CONTINUE TO EVOLVE IN THAT CATEGORY AS WELL.

BUT I JUST WANT ALL THE STAFF TO KNOW IT IS AN HONOR BASICALLY OF A LIFETIME TO REPRESENT THEM BECAUSE I ALWAYS TELL THEM MY JOB IS TO HELP YOU.

MY JOB IS NOT TO TELL YOU WHAT TO DO.

IF THAT WAS THE CASE, I'D BE DOING YOUR JOB.

UM, YOU KNOW, MY JOB IS TO HELP YOU GET RESOURCES, MAKE STRATEGIC DECISIONS, AND MORE IMPORTANTLY REPRESENT YOU PUBLICLY TO THE BOARD, TO THE COMMUNITY AND HELP GROW THIS ORGANIZATION AND GIVE MORE RESOURCES TO THIS CRITICAL MISSION.

SO I AM THE CHIEF ADVOCATE TRANSIT ADVOCATE OF THE CITY, AND I WILL CONTINUE TO DO THAT.

AND I JUST WANT THE STAFF TO KNOW HOW JUST MUCH ENORMOUS RESPECT I HAVE FOR EVERYONE THAT DELIVERS HERE EVERY DAY.

AND THANK YOU VERY MUCH.

THANK YOU, RANDY.

WE HAVE ONE MORE ACTION

[VI.4. Approval of the execution of an extension and amendment to the President & CEO Employment Agreement extending the term of the agreement to December 14, 2025, and amending certain terms of the agreement.]

ITEM TO GET TO, UM, WHICH IS, UH, APPROVAL OF A MODIFICATION AND AMENDMENT, UH, TO THE PRESIDENT AND CEO EMPLOYMENT AGREEMENT.

DONNA, ANYTHING YOU NEED TO SAY ABOUT THAT? GOOD AFTERNOON AGAIN, CHAIRMAN COOPER AND BOARD MEMBERS AND PRESIDENT CLARK.

I'LL JUST BRIEFLY INTRODUCE THIS ITEM.

IT'S AN ITEM TO APPROVE THE EXECUTION AND IX OF AN EXTENSION AND AMENDMENT TO THE PRESIDENT AND CEO'S EMPLOYMENT AGREEMENT, WHICH WILL EXTEND THE TERM OF THE AGREEMENT TO DECEMBER 14TH, 2025 AND AMENDING CERTAIN TERMS OF THE AGREEMENT.

SO WE'LL TURN IT BACK TO YOUR CHURCH TO REVIEW THOSE TERMS AND, UM, MANAGE THE ACTION.

THANK YOU, DONNA.

I THINK FOR THE RECORD, UM, WITH THE PASSAGE OF THE, UH, PROJECT CONNECT, UM, ITEM THIS LAST NOVEMBER, UH, THE, THE BOARD HAS RECOGNIZED A COUPLE OF THINGS.

ONE, UM, WE, UH, WE HAVE A LOT OF WORK TO DO AND WE NEED GOOD LEADERSHIP AND WE WANT THOSE OUT THERE, THE BEST IN THE INDUSTRY TO WANT TO COME TO AUSTIN, UH, TO GET THIS PROJECT COMPLETED ON TIME AND UNDER BUDGET.

UM, AND SO AN IMPORTANT ELEMENT OF THAT WAS SECURING THE LEADERSHIP THAT WE NEED.

AND SO THE BOARD, UM, WANTED TO EXTEND THE CONTRACT WITH PRESIDENT CLARK AND, UH, AND SO THAT'S THE ITEM BEFORE US TODAY AND AS WELL WANTED TO INCLUDE, UH, IN THAT CONTRACT, UH, SOME INCENTIVES TO KEEP HE AND KIMBERLY AROUND IN OUR COMMUNITY, WORKING AS HARD AS HE HAS BEEN WORKING.

UM, AND SO THAT'S WHY, UH, WE HAD THIS ACTION ITEM IN FRONT OF US TODAY AND STILL, WE'RE VERY PLEASED TO HAVE THE OPPORTUNITY, UH, TO EXTEND THE CONTRACT, KEEP RANDY AND KIMBERLY IN THIS TOWN AND, UH, PUT HIM TO WORK ON A PROJECT CONNECT.

SO WITH THAT, UH, SHARE, WE'LL ENTERTAIN A MOTION WITH RESPECT TO ACTION ITEM, NUMBER FIVE APPROVAL OF A MODIFICATION AND AMENDMENT TO THE PRESIDENT AND CEO EMPLOYMENT AGREEMENT.

AND CARRIE, IF THERE'S ANYTHING ELSE THAT WE NEED TO GET ON THE RECORD, LET ME KNOW.

CARRIE

[02:15:03]

CARRIE YOU'RE MUTED.

THERE'S A REALLY LONG LAG TIME IN MY SYSTEM.

I'M SORRY.

UM, EVERYONE MUST BE ON THE INTERNET HERE.

NO, YOU DO NOT NEED TO TAKE ANY, MAKE ANY FURTHER STATEMENTS.

IT MIGHT BE USEFUL THOUGH, TO READ THE TWO RESOLVED CLAUSES IN THAT RESOLUTION FOR THE RECORD, PARTICULARLY RELATED TO THE FINDING.

UH, SO THE TERRIBLE ENTERTAIN, A MOTION WITH RESPECT TO THIS ACCIDENT, ITEM NUMBER FIVE, BECAUSE I'M MOSTLY HERE, THAT'S ALL THOSE NICE THINGS WE SAID.

NOBODY'S GOING TO LET THE EMOTION, UH, EMOTION BY A NUMBER TREVELYAN.

IS THERE A SECOND, SECOND? I REMEMBER RENTERIA AND JUST, UH, AT THE DIRECTION OF OUR SUGGESTION OF OUR COUNCIL, I'LL REMIND EVERYBODY THAT THE MOTION THAT'S POSTED INCLUDES, UH, UH, ONE OR TWO OR ONE IMPORTANT.

UH, WHEREAS I GUESS IT'S ACTUALLY, UH, IN THE RESOLVE, UH, SECTION, UH, THAT, WELL, LET ME JUST READ THE WHOLE MOTION.

WHEREAS THE CAPITAL METRO TRANSPORTATION AUTHORITY BOARD OF DIRECTORS ENTERED INTO AN EMPLOYMENT AGREEMENT WITH RANDY CLARK ON MARCH SEVEN 2018.

AND WHEREAS THE CAPITAL METROPOLITAN TRANSPORTATION AUTHORITY BOARD OF DIRECTORS DESIRES TO EXTEND AND AMEND THE AGREEMENT NOW, THEREFORE BE IT RESOLVED WITH THE CAP.

METRO BOARD OF DIRECTORS FINDS THAT THE COMPENSATION PROVIDED FOR UNDER THE CONTRACT AS AMENDED IS IN COMPLIANCE WITH CAPITAL.

METRO IS PRESIDENT CEO, TOTAL COMPENSATION POLICY, AND IT FURTHER RESOLVED THAT THE CAPITAL METRO BOARD OF DIRECTORS AUTHORIZED AS THE EXECUTION OF AN EXTENSION AND AMENDMENT TO THE PRESIDENT CEO EMPLOYMENT AGREEMENT EXTENDING THE TERM OF THE AGREEMENT TO DECEMBER 14, 2025 AND AMENDING CERTAIN TERMS OF THE EQUITY.

SO THAT'S THE MOTION.

WE HAVE A SECOND, ANY DISCUSSION ON THIS ITEM? EVERYBODY SAID ALL THE NICE THINGS I WANTED TO SAY BEFORE.

VERY WELL WE'LL, UH, UH, WELL A BOAT AND I'LL CALL, UH, EACH OF YOU INDIVIDUALLY AS WE HAVE IN THE PAST.

UM, REMEMBER HILL I THINK IS NOT PRESENT A MEMBER INTO RHEA.

ALL RIGHT, BYE.

THANK YOU.

REMEMBER STRATTON.

YOU BET YOUR GUARDS IS NOT PRESENT.

REMEMBER KITCHEN.

UM, YES.

UH, MEMBER TREVELYAN.

I REMEMBER BISSELL AYE, UH, COOPERS AND I AS WELL.

THE MOTION CARRIES SIX TO ZERO WITH TWO, NOT BUZZING.

UM, I THINK, UH, WE ALL FEEL REALLY GOOD ABOUT WHERE WE ENDED UP TODAY AND, UH, SUPER EXCITED ABOUT LOCKING YOU GUYS UP AND HOPE YOU'LL GO OUT AND BUY A BIG HOUSE AND HELP PAY FOR PROJECT CONNECT, UH, ON AN ANNUAL BASIS.

AND, UH, UH, WE'RE SUPER EXCITED.

SO WE LOOK FORWARD TO CELEBRATING APPROPRIATELY WHEN THE CIRCUMSTANCES PERMIT, BUT THANK YOU, RANDY.

THANK YOU, KIMBERLY.

AND, UH, I THINK YOUR COMMENTS AS WELL, DIRECTED TO STAFF, PART OF WHAT ALL OF US ARE EXCITED ABOUT IN YOUR LEADERSHIP IS THE DEVELOPMENT AND ENERGY OF THE STAFF AND WHAT THEY'VE BEEN ABLE TO ACCOMPLISH IN A VERY SHORT PERIOD OF TIME.

AND AS I SAID TO THE MEMBERS OF THE EXECUTIVE COMMITTEE AND THE MEMBERS OF THE BOARD IN EXECUTIVE SESSION, UH, I KNOW AT LEAST THOSE TWO DONNA AND CARRIE WERE WORKING WELL THROUGH THE WEEKEND TO GET US WHERE WE ARE TODAY.

SO THAT'S A GOOD EXAMPLE OF WHAT WE'VE SEEN IN THE PAST, A SENSE OF URGENCY AND SINCE GETTING THE MISSION DONE ON TIME.

SO THANK YOU, CARRIE AND DONNA, AND THANK YOU TO ALL THE STAFF AND WITH THAT, UNLESS THERE ARE ANY ADDITIONAL ITEMS AND WITH THANKS TO SHANA FOR ALL SHE'S DONE AND TO VICE CHAIR GARZA FOR ALL THAT SHE HAS DONE AND WILL CONTINUE TO DO FOR OUR COMMUNITY IN HER, HER NEW ROLE AND, UH, UH, WITH, UH, AGAIN TO MR. MASON'S, UH, FAMILY AND, UH, KNOWING THAT, UH, YOU'RE IN OUR THOUGHTS AND PRAYERS IS RELIEVED TODAY.

UH, WE STAND ADJOURNED.

THANK YOU EVERYBODY.

YEP.

THANK YOU.

THANKS EVERYBODY.
